Licensor Deliverables. On the Effective Date, Licensor will deliver to AVST (a) all of the UCN IP Assets in accordance with Section 4.1, (b) any Leased Assets pursuant to Section 3.2, and (c) Licensor's counterparts or joinders to each of the Investors' Rights Agreement, the Co-Sale Agreement, and the Voting Agreement.
