Letter Contract and Term of Agreement. The term of this Agreement shall commence on the date of execution of the Letter Contract and Notice to Proceed by the Department and shall continue to be in effect through Substantial Completion as achieved by the General Contractor, and shall terminate upon the A/E obtaining a minimum certification of LEED Silver for the Project, which shall be no later than six months after the Substantial Completion Date. For avoidance of doubt, on the Effective Date of this Agreement, the Letter Contract shall automatically terminate and shall merge into and be superseded by this Agreement; and, any services provided or work performed pursuant to the merged Letter Contract, and prior to the Effective Date of this Agreement, shall be governed by the terms and conditions of this Agreement.
