Lessor's Warranties and Representations. 7.1. Lessor undertakes that Lessee shall lawfully, peacefully and freely hold, occupy, use, operate, and enjoy the Site in order to fulfill its obligations and exercise its rights under the PPA during the Initial Term and the Additional Term without disturbance, nuisance, or interference by Xxxxxx, successors, assigns, agents, or creditors. Lessor undertakes that no third party shall have a right or claim to the Site during the Initial Term and the Additional Term of the Lease Agreement.
Lessor's Warranties and Representations. To the best of Lessor’s knowledge, there is no existing or threatened litigation, arbitration or administrative proceedings relating to these two leases being conveyed to Lessee; Lessor is not in violation of any existing laws, rules or regulations of the Railroad Commission of Texas (“RRC”). Lessor has not entered into, or agreed to enter into, any agreement, arrangement or understanding with any third party relating to these two leases which may preclude Lessee from earning the Lessee’s Interest under this Agreement. Lessor acknowledges that there are no environmental or other liabilities, claims or circumstances relating to the conduct of oil and gas operations on either of these two leases and are in good standing with the RRC.

Lessor undertakes that no third party shall have a right or claim to the Site during the Initial Term and the Additional Term of the Lease Agreement. Lessor warrants and represents that it has obtained all approvals from the [government], the provincial/municipal authorities and all other applicable government agencies or bodies, needed for Lessee to lawfully enter into this Lease Agreement and to use the Site for the purposes described in Article 2 at all times during the Initial Term and the Additional Term. Lessor warrants and represents that it is the lawful and sole owner during the Initial Term and the Additional Term and that there are no encumbrances, mortgages, liens or security interests on the Site other than those created pursuant to this Agreement. Lessor warrants and represents that the Site will be free from any occupants as at the Delivery Date. Lessor warrants and represents that the Site is free from pollution, unexploded ordinances and environmental damage.

Lessor's Warranties and Representations. 17.1 Subject to the terms of Article XXXII hereof, Lessee shall have inspected, accepted and approved the Facility as of the Commencement Date of this Lease and it shall accept the Facility as fully equipped.
Lessor's Warranties and Representations. 17.1 Lessee hereby acknowledges that it has inspected the Facility prior to execution of this Lease and that the Facility is currently fully equipped. Lessor does hereby represent and warrant that to the extent the Demised Premises is found by Lessee after the Commencement Date not to be so fully equipped, and Lessee advises Lessor in writing of said deficiency, Lessor shall take such steps as may be reasonably necessary to secure the missing equipment and/or to compensate Lessee for the replacement value thereof.
