Jurisdiction and Consent to Service. Without limiting the jurisdiction or venue of any other court, each of the Parties (i) agrees that any suit, action or proceeding arising out of or relating to this Agreement will be brought solely in the state or federal courts of the State of New York, (ii) consents to the exclusive jurisdiction of each such court in any suit, action or proceeding relating to or arising out of this Agreement, (iii) waives any objection which it may have to the laying of venue in any such suit, action or proceeding in any such court, and (iv) agrees that service of any court paper may be made in such manner as may be provided under applicable Laws or court rules governing service of process.

Jurisdiction and Consent to Service. Each party hereby irrevocably and unconditionally: (a) agrees that any action, suit or proceeding arising out of or related to this Agreement or any of the Contemplated Transactions, whether based in contract, tort or any other legal theory, shall be brought exclusively in any court located in the Province of Ontario (and in the appropriate appellate courts therefrom); (b) consents and submits to the exclusive jurisdiction of such courts in any such action, suit or proceeding; (c) waives, to the fullest extent permitted by law, and agrees not to assert any claim, defense or objection to the venue of such courts (whether on the basis of forum non conveniens or otherwise); (d) agrees that it will not attempt the removal or transfer of any such action, suit or proceeding to any other court; and (e) consents to service of process on such party in the manner provided in Section 9.1 (provided that nothing in this Section 9.8(e) shall affect the right of any party to serve legal process in any other manner permitted by Applicable Law).
