Joint Post-Closing Covenant of the Parties. The Parties jointly covenant and agree that, from and after the Closing Date, they will each use commercially reasonable efforts to cooperate with each other in connection with any Proceeding, investigation or audit of the other relating to (a) the preparation of an audit of any Tax Return of Seller for all periods prior to or including the Closing Date, and (b) any audit of Buyer and/or any audit of Seller with respect to the sales, transfer and similar Taxes imposed by the laws of any state or political subdivision thereof, relating to the transactions contemplated by this Agreement. In furtherance hereof, the Parties further covenant and agree to promptly respond to all reasonable inquiries related to such matters and to provide, to the extent reasonably possible, substantiation of transactions and to make available and furnish appropriate documents and personnel in connection therewith. All costs and expenses incurred in connection with this Section 12.2 will be borne by the Party who is subject to such action.

  • Taxes and Fees Imposed on Providing Party But Passed On To Purchasing Party 11.4.1 Taxes and fees imposed on the providing Party, which are permitted or required to be passed on by the providing Party to its customer, shall be borne by the purchasing Party.
