Joinder to Intercreditor Agreement. The Administrative Agent (or its counsel) shall have received a duly executed copy of a joinder to the Intercreditor Agreement, pursuant to which the Administrative Agent agrees to be bound by the Intercreditor Agreement as the “ABL Representative” thereunder, and the Term Loan Agent and the Loan Parties acknowledge and agree that this Agreement constitutes a “Replacement ABL Agreement” and the “ABL Agreement” thereunder. The Administrative Agent shall notify the Borrower Representative and the Lenders of the Effective Date, and such notice shall be conclusive and binding.
Joinder to Intercreditor Agreement. The New Secured [Hedge][LC] Provider hereby approves and adopts Intercreditor Agreement, assumes the obligations of Secured [Hedge][LC] Provider under the Intercreditor Agreement and agrees to be bound by the terms of the Intercreditor Agreement. The execution and delivery of this Joinder Agreement by the New Secured [Hedge][LC] Provider will have the same effect as if the New Secured [Hedge][LC] Provider had executed and delivered a counterpart of the Intercreditor Agreement.
Joinder to Intercreditor Agreement. The Collateral Agent shall have become a party to the Intercreditor Agreement, pursuant to a joinder agreement in form and substance acceptable to the Collateral Agent, and shall have acceded to all of the rights and privileges of MC Admin Co LLC thereunder.
Joinder to Intercreditor Agreement. In accordance with Section 8.22 of the Intercreditor Agreement, the New Subsidiary by its signature below becomes a party under the Intercreditor Agreement with the same force and effect as if originally named therein as a Subsidiary, and the New Subsidiary hereby agrees to all the terms and provisions of the Intercreditor Agreement applicable to it as a Subsidiary thereunder.
Joinder to Intercreditor Agreement. On the Closing Date, the Collateral Agent (for and on behalf of the Secured Creditors) and the ABL Agent (for and on behalf of the Secured Parties) shall have duly authorized, executed and delivered a joinder to the Initial Intercreditor Agreement (the “Initial Intercreditor Agreement Joinder”), and the Initial Intercreditor Agreement Joinder shall be in full force and effect.
Joinder to Intercreditor Agreement. (a) The New Subsidiary, for the benefit of Agent, hereby agrees as follows: The New Subsidiary hereby acknowledges the Intercreditor Agreement and acknowledges, agrees and confirms that, by its execution of this Agreement, the New Subsidiary will be deemed to be a "Loan Party" under the Intercreditor Agreement and shall have all of the obligations of a Loan Party thereunder as if it had executed the Intercreditor Agreement. The New Subsidiary hereby ratifies, as of the date hereof, and agrees to be bound by, all of the terms, provisions and conditions contained in the Intercreditor Agreement.
Joinder to Intercreditor Agreement. Cyantek shall have executed and delivered to Agent and Collateral Agent a Joinder to the Intercreditor Agreement, in form and substance satisfactory to Agent in its sole discretion; such document shall be a Loan Document.
Joinder to Intercreditor Agreement. An executed copy of the Joinder Agreement in form attached hereto as Exhibit D;
Joinder to Intercreditor Agreement. The Agent shall have entered into a joinder or amendment to the Intercreditor Agreement, in form and substance reasonably satisfactory to the Agent, and the Intercreditor Agreement shall be in full force and effect. 100

The Agent shall have entered into a notice of amendment and confirmation of joinder to the Intercreditor Agreement with the trustee for the Senior Secured Notes, in form and substance reasonably satisfactory to the Agent, and the Intercreditor Agreement shall be in full force and effect.
