ABL Agent definition

ABL Agent shall have the meaning assigned to that term in the introduction to this Agreement and shall include any successor thereto as well as any Person designated as the “Agent” or “Administrative Agent” under any ABL Credit Agreement.

ABL Agent means the Initial ABL Agent and any successor or other agent under any ABL Credit Agreement.

ABL Agent means Bank of America, N.A., acting in its capacity as collateral agent under the ABL Credit Facility, or any successor thereto in such capacity.

Examples of ABL Agent in a sentence

• The Plan Administrator shall pay in Cash all reasonable and documented fees and expenses of the advisors to the Initial Plan Sponsors, DIP Lenders, ABL Agent, and ABL Lenders, in each case in accordance with the terms and conditions of any applicable agreement with the Debtors, including the DIP Credit Agreement Documents and, the Restructuring Support Agreement, and the DIP Orders, without the need for application to or approval of the Bankruptcy Court.

• The Plan Administrator shall pay in Cash all reasonable and documented fees and expenses of the advisors to the Initial Plan Sponsors, DIP Lenders, ABL Agent, and ABL Lenders, in each case in accordance with the terms and conditions of any applicable agreement with the Debtors, including the DIP Credit Agreement Documents, the Restructuring Support Agreement, and the DIP Orders, without the need for application to or approval of the Bankruptcy Court.

• The ABL Agent shall be deemed to be the Holders of all ABL Claims for purpose of distributions to be made hereunder, and all distributions on account of such ABL Claims shall be made to the ABL Agent to be distributed in accordance with the terms of the ABL Credit Agreement.

• The Plan Administrator may resign at any time upon thirty (30) days’ written notice delivered to the Wind-Down Debtors and the Bankruptcy Court; provided that such resignation shall only become effective upon the appointment of a permanent or interim successor Plan Administrator, to be chosen by the Initial Plan Sponsors with the consent of the ABL Agent.

• No later than the Wednesday of each week after the Confirmation Date, the Plan Administrator shall deliver to the Initial Plan Sponsors and the ABL Agent a report which shall include: (i) a detailed listing of disbursements from the prior week, (ii) actual cash flow results from the prior week and variance form forecasting (standard summary on cash receipts and disbursements) with an explanation of the variances, and (iii) an accounts payable aging report.

ABL Agent means UBS AG, Stamford Branch in its capacity as collateral agent under the ABL Credit Agreement, together with its successors and assigns in such capacity from time to time, whether under the Original ABL Credit Agreement or any subsequent ABL Credit Agreement, as well as any Person designated as the “Agent” or “Collateral Agent” under any ABL Credit Agreement.

ABL Agent means Bank of America, N.A., in its capacity as administrative agent and collateral agent under the ABL Facility Documentation, or any successor agent or under the ABL Facility Documentation.

ABL Agent. UBS AG, Stamford Branch, in its capacity as administrative agent and collateral agent under the ABL Facility Documents, or any successor administrative agent or collateral agent under the ABL Facility Documents.

ABL Agent means JPMorgan Chase Bank, N.A., in its capacity as administrative agent and collateral agent under the ABL Credit Agreement.

ABL Agent means Wells Fargo Bank, National Association, in its capacity as agent under the ABL Credit Agreement, solely in its capacity as such.

ABL Agent means Eclipse Business Capital LLC, in its capacity as administrative agent and/or collateral agent for the lenders under the ABL Credit Agreement, or the administrative agent and/or collateral agent (or similar agent) under any other ABL Facility, and any successor thereto in any such capacity.

ABL Agent shall have the meaning assigned to such term in the Intercreditor Agreement.
