Guests’ Property. All baggage or other property of patrons of the Hotels checked or left in care of the Hotel shall be listed in an inventory to be prepared in duplicate and signed by Seller’s and Purchaser’s representatives on the Closing Date. Purchaser shall be responsible from and after the Closing Date and will indemnify and hold Seller harmless from and against all claims for all baggage and property listed in such inventory.

Guests’ Property. All baggage or other property of patrons of the Property checked or left in care of Seller shall be listed in an inventory to be prepared by Manager in duplicate and signed by Seller's and Purchaser's representatives on the Closing Date. All baggage or other property of guests retained by Seller as security for unpaid accounts receivable may be left on the Property without any responsibility or liability therefor on the part of Purchaser, for a period not to exceed one (1) month from Closing Date, within which time such baggage or other property shall be removed or otherwise disposed of by Seller.

From and after the Closing Date, Buyer shall be responsible for all baggage and property listed in such inventory, and shall indemnify, defend and hold Seller Parties harmless from and against all Losses relating thereto. Seller shall indemnify, defend and hold Buyer Parties harmless from and against Losses for baggage and property not listed in such inventory but shown to have been left in Hotel Manager's care prior to the Closing Date (other than Losses caused by the negligence or willful misconduct of Buyer or its employees or agents). All baggage or other property of guests retained by Seller as security for unpaid Accounts Receivable shall be left at the Property without any responsibility or liability therefor on the part of Buyer (other than for Losses arising from the negligence or willful misconduct of Buyer or its employees or agents) for a period not to exceed 30 days after the Closing Date, within which time any such remaining baggage or other property shall be removed by Seller. Seller and Buyer acknowledge that property left in Hotel safe deposit boxes will not be inventoried and that the indemnifications set forth in this SECTION 8.9 shall not cover property left in Hotel safe deposit boxes (and from and after the Closing Date, Seller will have no liability for any property left in Hotel safe deposit boxes).
Guests’ Property. 22.1 For the purposes of this Clause a reference to Guest shall also include a reference to an Act.
Guests’ Property. Guest is solely responsible for his/her own property at all times. OSU IS NOT RESPONSIBLE FOR LOSS OR DAMAGE TO PERSONAL PROPERTY IN OSU FACILITIES. GUESTS ARE ENCOURAGED TO CARRY PERSONAL PROPERTY INSURANCE.

Seller shall indemnify and hold harmless each Purchaser Indemnitee from and against claims for baggage and property not listed in such inventory but alleged to have been left in custody at the Hotel prior to the Closing Date. All baggage or other property of guests retained by Seller as security for unpaid accounts receivable may be left at the Hotel without any responsibility or liability therefor on the part of Purchaser, for a period not to exceed one (1) month from Closing Date, within which time such baggage or other property shall be removed or otherwise disposed of by Seller.
Guests’ Property. All baggage or other property of Hotel guests checked or left in Seller’s or Hotel Operator’s care (other than property left in Hotel safe deposit boxes) as of the Closing shall be listed in an inventory to be prepared in duplicate by Seller and signed by Seller’s and Purchaser’s representatives on the Closing Date. From and after the Closing Date, Purchaser shall be responsible for all baggage and property listed in such inventory, and shall indemnify, defend and hold Seller and the Seller Indemnitees harmless from and against all Losses relating thereto. Seller shall indemnify, defend and hold Purchaser and the Purchaser Indemnitees harmless from and against Losses for baggage and property not listed in such inventory but shown to have been left in Hotel Operator’s care prior to the Closing Date (other than Losses caused by the gross negligence or willful misconduct of Purchaser or its employees or agents). Seller and Purchaser shall use commercially reasonable efforts to require Hotel guests with property in safe deposit boxes to execute, during the evening prior to the Closing Date, an acknowledgement of any property left by such guest in Hotel safe deposit boxes. The indemnification set forth in this Section 11(g) shall not extend to property set forth in any such acknowledgement (and from and after the Closing, Seller will have no liability for any property set forth in any such acknowledgement).

Buyer’s Manager shall be responsible from and after the Closing Date for all baggage and property listed in such inventory and Buyer shall indemnify and hold Sellers, and Hotel Manager harmless from and against all claims for all baggage and property listed in such inventory. Sellers shall indemnify and hold harmless Buyer and Buyer’s Manager from and against claims for baggage and property not listed in such inventory but alleged to have been left in custody at the Hotel prior to the Closing Date. The provisions of this Section 10.8 shall survive Closing and shall not merge into any of the Transfer Instruments.
