Governmental Consents and Notices. No consent, approval or authorization of or designation, declaration or filing with any governmental authority on the part of the Company is required in connection with the valid execution and delivery of this Agreement, or the offer, sale or issuance of the Units, or the consummation of any other transaction contemplated hereby, except qualification (or taking such action as may be necessary to secure an exemption from qualification, if available) of the offer and sale of the Units under applicable state and federal securities laws, which qualification if required, will be accomplished in a timely manner.
Governmental Consents and Notices. No consent, approval or authorization of or designation, declaration or filing with any governmental authority on the part of Debtor is required in connection with the valid execution and delivery of this Agreement or any Note or the consummation of any other transaction contemplated hereby.

Except for approvals required under the HSR Act, no Governmental Approval is necessary or appropriate in connection with the execution and delivery by the Partnership of this Agreement and the other Closing Documents to which either of them is or will be a party, or the consummation of the transactions contemplated hereby and thereby, including the full, valid and effective consummation of the Merger.

The Company has met or will meet all conditions of Regulation D promulgated under the Securities Act applicable to "issuers" (as defined in such Regulation D) so that the offer, sale or issuance of the Securities, or the consummation of any other transaction contemplated hereby, is exempt from the registration requirements of Section 5 of the Securities Act.
Governmental Consents and Notices. Any consents from or notices to any Governmental Authorities required to be made or obtained by the Purchaser in connection with the transaction shall have been obtained or made.

Except as expressly described on Schedule 4.5, all of the Governmental Consents and Notices have been duly obtained or made and none has been revoked or rescinded or has expired. Without limiting the generality of the preceding provisions of this Section 4.5, no consent, approval or filing is required under or in connection with the HSR Act in connection with the transactions contemplated by this Agreement.

Sellers, to the extent applicable, shall have received consents, waivers, permits, registrations, authorizations and approvals of Governmental Entities set forth on Schedule6.2(c)(1) and/or the applicable waiting periods with respect thereto shall have expired; Sellers shall have made filings with and/or provided notices to, as applicable, those Governmental Entities set forth on Schedule 6.2(c)(2); Buyers, to the extent applicable, shall have received consents, waivers, permits, authorizations and approvals of Governmental Entities set forth on Schedule 6.1(c)(1) and/or the applicable waiting periods with respect thereto shall have expired;

No consent, approval, order or authorization of, or registration, declaration of, notice to or qualification or filing with, any Governmental Authority or regulated public securities exchange or other organized public market on which the shares of any such Seller are traded (including but not limited to Nasdaq), whether domestic or foreign, is required to be obtained or submitted by or on behalf of or with respect to any Seller in connection with the execution and delivery of this Agreement by any Seller or the consummation by any Seller of the transactions contemplated hereby that has not been, or will not prior to Closing have been, duly obtained and/or submitted, as applicable. No consent, approval, order or authorization of, or registration, declaration of, notice to or qualification or filing with, any Governmental Authority or regulated public securities exchange or other organized public market on which the shares of any such Seller are traded (including but not limited to Nasdaq), whether domestic or foreign, was required to be obtained or submitted by or on behalf of or with respect to any Seller in connection with First Ecom’s transfer of Company Shares to FEDS Acquisition that has not been duly obtained and/or submitted, as applicable.
