Government Entities and Officials. Rule 206(4)-5 under the Advisers Act generally prohibits investment advisers from providing advisory services for compensation to a government entity client or investor for two years after the investment adviser or certain persons affiliated with the investment adviser have made contributions to elected officials or government entities, among other requirements. The Fund requires that the Investor certify below whether or not the Investor is a government entity or official for purposes of the General Partner’s and the Investment Manager’s compliance with Rule 206(4)-5. Check the statement(s) below if applicable: 🞎 The Investor is a state of the United States (“State”) or a political subdivision of a State. 🞎 The Investor is an agency, authority, or instrumentality of a State or a political subdivision of a State. 🞎 The Investor is a pool of assets sponsored or established by a State, a political subdivision of a State, or any agency, authority, or instrumentality thereof, including but not limited to a “defined benefit plan” as defined in section 414(j) of the Code, or a State general fund. 🞎 The Investor is a participant-directed investment program or plan sponsored or established by a State, a political subdivision of a State, or any agency, authority, or instrumentality thereof, including, but not limited to, a “qualified tuition plan” authorized by section 529 of the Code, a retirement plan authorized by section 403(b) or 457 of the Code, or any similar program or plan. 🞎 The Investor is an officer, agent, or employee of a State, a political subdivision of a state, or any agency, authority, or instrumentality thereof, acting in their official capacity. 🞎 The Investor is an investment company registered under the Investment Company Act of 1940, as amended (the “1940 Act”) that is an investment option of a plan or program of a government entity described in any of the above items in this Part 6; or any investment company that would be an investment company under the 1940 Act but for exclusions provided from that definition by sections 3(c)(1), 3(c)(7), or 3(c)(11) of the 1940 Act, which is an investment option of a plan or program of a government entity described in any of the above items in this Part 6.

The parties agree that the Buyer shall have the right to carry out all the actions necessary to verify the compliance of Seller with the provisions of this section and the corresponding applicable anti-corruption laws.   • LAWS AND ORDINANCES In the exercise of any privilege granted by this license, licensee shall comply with all applicable federal, state, local government, and municipal laws, statutes, ordinances, rules, regulations, codes, decrees, orders and other such requirements (collectively, laws) including without limitation Laws regarding wages and hours, health, safety, building codes, emergencies, and security. Licensee shall apply, pay for, and obtain all required licenses and permits, including without limitation licenses and permits for fire and life safety requirements.

  • Anti-Corruption Laws and Sanctions The Borrower has implemented and maintains in effect policies and procedures designed to ensure compliance by the Borrower, its Subsidiaries and their respective directors, officers, employees and agents with Anti-Corruption Laws and applicable Sanctions, and the Borrower, its Subsidiaries and their respective officers and employees and to the knowledge of the Borrower its directors and agents, are in compliance with Anti-Corruption Laws and applicable Sanctions in all material respects. None of (a) the Borrower, any Subsidiary or any of their respective directors, officers or employees, or (b) to the knowledge of the Borrower, any agent of the Borrower or any Subsidiary that will act in any capacity in connection with or benefit from the credit facility established hereby, is a Sanctioned Person.   • INFORMATION AND APPLICATIONS POLICY LANGUAGE For State Agency Authorized User Acquisitions: Any web-based information and applications development, or programming delivered pursuant to the contract or procurement, will comply with New York State Enterprise IT Policy NYS-P08-005, Accessibility of Web-Based Information and Applications as follows: Any web-based information and applications development, or programming delivered pursuant to the contract or procurement, will comply with New York State Enterprise IT Policy NYS-P08-005, Accessibility of Web-Based Information and Applications as such policy may be amended, modified or superseded, which requires that state agency web-based information and applications are accessible to persons with disabilities. Web-based information and applications must conform to New York State Enterprise IT Policy NYS-P08-005 as determined by quality assurance testing. Such quality assurance testing will be conducted by the State Agency Authorized User and the results of such testing must be satisfactory to the Authorized User before web-based information and applications will be considered a qualified deliverable under the contract or procurement.

  • Prevention of Fraud and Corruption 18.1 The Supplier shall not offer, give, or agree to give anything, to any person an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any act in relation to the obtaining or execution of the Agreement or for showing or refraining from showing favour or disfavour to any person in relation to the Agreement.
