Good Standing; Authority. The Borrower and each Subsidiary (if either is not an individual) is duly organized, validly existing and in good standing under the laws of the jurisdiction in which it was formed. The Borrower and each Subsidiary is duly authorized to do business in each jurisdiction in which failure to be so qualified might have a material adverse effect on its business or assets and has the power and authority to own each of its assets and to use them in the ordinary course of business now and in the future.

EH and XX-Xxxxxxxx each has all legal right and full corporate power and authority to own and use its properties and assets as presently used and contemplated to be used, to conduct its business and activities as presently conducted and contemplated to be conducted and to enter into, perform its obligations under and comply with the terms and provisions of this Agreement, and the execution and delivery of this Agreement and the full compliance with and performance of the obligations of XX-Xxxxxxxx and EH under this Agreement have been duly and validly authorized by all necessary corporate action on the part of EH and XX-Xxxxxxxx. The use of the Leased Property is within the exempt purpose of EH.
