Good Standing; Authority. The Borrower and each Subsidiary (if either is not an individual) is duly organized, validly existing and in good standing under the laws of the jurisdiction in which it was formed. The Borrower and each Subsidiary is duly authorized to do business in each jurisdiction in which failure to be so qualified might have a material adverse effect on its business or assets and has the power and authority to own each of its assets and to use them in the ordinary course of business now and in the future.
Good Standing; Authority. Borrower is an entity or sole proprietor (i) duly organized and existing and in good standing under the laws of the jurisdiction in which it was formed, (ii) duly qualified, in good standing and authorized to do business in every jurisdiction in which failure to be so qualified might have a material adverse effect on its business or assets and (iii) has the power and authority to own each of its assets and to use them as contemplated now or in the future.
Good Standing; Authority. The signatures on behalf of the parties to this Agreement affirm that each is duly authorized to act on behalf of and to bind the party each signature represents.
Good Standing; Authority. If requested by Lender, Borrower shall have provided Lender with evidence that Borrower and any entity Guarantor(s) are in good standing under the laws of their state of formation and in each state in which any Collateral is located and that the Persons executing this Modification and the other documents or instruments contemplated hereby, other than Lender, are duly authorized to do so.

EH is a nonprofit corporation duly organized and validly existing in good standing under the laws of the State of Minnesota, organized and operated exclusively for charitable purposes and specifically and primarily to engage in and conduct charitable, educational, and scientific activities generally including the provision of hospital and other related healthcare services; it is an organization described in Sections 170(c)(2), 501(c)(3) and 509(a)(1 or 2) of the Internal Revenue Code of 1986, as amended ("IRC"); a public charity within the meaning of the IRC, and it is exempt from federal income taxation under Section 501(a) of the IRC: XX-Xxxxxxxx is a Delaware limited liability company qualified to do business in Minnesota that is a wholly-owned subsidiary of EH that EH has elected to treat as a disregarded entity for federal income tax purposes. EH and XX-Xxxxxxxx each has all legal right and full corporate power and authority to own and use its properties and assets as presently used and contemplated to be used, to conduct its business and activities as presently conducted and contemplated to be conducted and to enter into, perform its obligations under and comply with the terms and provisions of this Agreement, and the execution and delivery of this Agreement and the full compliance with and performance of the obligations of XX-Xxxxxxxx and EH under this Agreement have been duly and validly authorized by all necessary corporate action on the part of EH and XX-Xxxxxxxx. The use of the Leased Property is within the exempt purpose of EH.
Good Standing; Authority. (a) The Buyer is a corporation validly existing, duly incorporated and in good standing under the laws of the State of Michigan, United States of America.
Good Standing; Authority. (i) Next Metrology is a limited liability company, validly existing, duly incorporated and in good standing under the laws of the Czech Republic.
Good Standing; Authority. Each Party represents to the others (i) that it is duly formed and validly existing under the laws of Arizona, with respect to the Owners or a municipal corporation within the State of Arizona, with respect to the City, (ii) that it is an Arizona limited liability company or municipal corporation duly qualified to do business in the State of Arizona and is in good standing under applicable state laws, and (iii) that the individual(s) executing this Agreement on behalf of the respective Parties are authorized and empowered to bind the Party on whose behalf each such individual is signing.
Good Standing; Authority. Borrower (a) is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; (b) has all requisite power and authority and necessary licenses and permits to own and operate its properties and to carry on its businesses now and as proposed to be conducted; and (c) has duly qualified and is authorized to do business and is in good standing in each jurisdiction where the character of its properties or the nature of its activities makes such qualification necessary or desirable.
