FORMATION OF COMPANY AND NAME. Pursuant to the Act, the organizer has formed a limited liability company under the laws of the State of California by the filing, effective as of December 17, 2009, the Articles for Xxxxxx Information Systems, LLC (the "Company"). The existence of the Company shall be effective as of the date of filing and acceptance of the Articles by the Secretary of State. The acceptance of the Articles by the Secretary of State shall be conclusive evidence that all conditions precedent required to be performed by the organizers have been complied with and that the Company has been organized under the Act. The business of the Company shall be conducted under such name until such time as the Member shall hereafter designate otherwise and file amendments to the Articles in accordance with applicable law.
