Expertise. Such Member alone, or together with its representatives, possesses such expertise, knowledge and sophistication in financial and business matters generally, and in the type of transactions in which the Company proposes to engage in particular, that such Member is capable of evaluating the merits and economic risks of acquiring and holding the Units, and that such Member is able to bear all such economic risks now and in the future;
Expertise. One or several shareholders representing at least one twentieth of the registered capital may ask to the President of the Commercial Court to rule in chambers to designate an expert in charge of presenting a report on one or several management operations. The report from the expert possibly appointed must be sent to the petitioners, to the Board, to the Ministère Public ("Attorney General"), to the Labor Committee and to the COB (French SEC) ; it shall also be attached to the report from the Auditor(s) prepared for the forthcoming General Meeting and should be granted the same advertising.
Expertise. (i) In the case of Party A, it has sufficient knowledge and expertise to enter into each Transaction and is relying on its own judgement and not on the advice of Party B.
Expertise. [Consultant] [Vendor] represents to Pace that [Consultant] [Vendor] has sufficient staff available to provide the services to be delivered under the Agreement and that all individuals providing such services have the background, training, and experience to provide the services to be delivered under the Agreement.
Expertise. Consultant represents and warrants that Consultant has sufficient staff available to perform the Work and that all individuals providing the Work have the licensure, background, training and experience to perform properly the Work to be delivered hereunder. Consultant further represents and warrants that it owns or lawfully controls all of the intellectual property that it may transfer to Pace or otherwise include in its deliverables under this Agreement.
