Exclusions from the EPC Price. The following items (the “Excluded EPC Costs”) are not covered by the EPC Price and such costs shall be payable by Owner in excess of the EPC Price, except as expressly provided otherwise below: (a) any incremental Cost of the Work resulting from uninsured Force Majeure, which, at Owner’s election, may be shared equally with Contractor, in which case, termination for a Force Majeure Event because of the shared costs shall not be permitted; (b) any increase or decrease in the Cost of the Work resulting from the imposition of additional requirements or reallocation of the Cost of the Work by the Utility Regulator, which shall be handled in accordance with Section 14.l; (c) any increase or decrease in the Cost of the Work resulting from any Change Order made pursuant to Section 8.4, 8.5, or 8.8, which shall be allocated as set forth in such Sections; and (d) any increase in the Cost of the Work resulting from the Owner’s failure to cooperate reasonably with Contractor the other Parties to this Agreement, including without limitation owner’s failure to carry out its duties under Sections 5.2 or 5.4.
