Failure to Cooperate. The [Member] fails to assist Us in coordinating benefits as described in the Coordination of Benefits and Services Section. If We give the [Member] such written notice:
Failure to Cooperate. If a Member fails to cooperate with HPN’s administration of this section, the Member may be responsible for the expenses for the services rendered and if legal action is taken, a court could make the Member responsible for any legal expense incurred by HPN to enforce its rights under this section. Member cooperation includes the completion of the necessary paperwork that would enable HPN to collect payment from the Primary Plan for services. Any benefits paid to the Member in excess of actual expenses must be refunded to HPN.

Failure to Cooperate. Mosaic reserves the right to remove Supplier or any Supplier Affiliate who it has reason to believe is in violation of this Policy or who fails or refuses to cooperate in enforcing and complying with this Policy.
Failure to Cooperate. If Customer fail to meet its cooperation obligations herein and Customer fails to correct the same within fifteen (15) days after receipt of written notice from Centre, then Centre may delay or suspend its performance under the applicable SSA or Order and charge Customer for resulting reasonable out-of-pocket expenses. If the failure continues for thirty (30) days following Centre's written request to Customer to meet these obligations, Centre may treat the failure to cooperate as a material breach of the applicable SSA or Order by the Customer in accordance with Section 4.2 of this MSA.
Failure to Cooperate. 1. Any obstruction of or interference with IPTF activities, failure or refusal to comply with an IPTF request, or other failure to meet the Parties’ responsibilities or other obligations in this Agreement, shall constitute a failure to cooperate with the IPTF.

Xxxxx and Circor agree to permit such public accountant full access to all appropriate records or other information in the possession of any member of the Xxxxx Affiliated Group or the Circor Affiliated Group, as the case may be, during reasonable business hours, and to reimburse or pay directly all costs and expenses in connection with the engagement of such public accountant.
Failure to Cooperate. The failure of any prospective seller of Registrable Securities to furnish any information or documents in accordance with any provision contained in this Article VI shall not affect the obligations of the Company under this Article VI to any remaining sellers who furnish such information and documents unless, in the reasonable opinion of counsel to the Company or the underwriters, such failure impairs or may impair the viability of the offering or the legality of the Registration Statement or the underlying offering.
Failure to Cooperate. (a) Brillian shall be liable for any Tax imposed on any TFS Affiliate that results from the failure of any Brillian Affiliate (A) to cooperate under Section 5.1 or (B) to keep and to make available to TFS the records provided to Brillian by any TFS Affiliate.
