To the extent there is any inconsistency or conflict between the terms hereof and the terms of the Employment Agreement, the terms of the Employment Agreement shall govern.

Employment Agreement Governs. The Award is subject to all the provisions of the Employment Agreement, the provisions of which are hereby made a part of Awardee's Award, and is further subject to all amendments which may from time to time be adopted in relation to the Employment Agreement.
