Delivery of Magnetic Media Records. Seller shall prepare or cause to be prepared at its expense and make available to Purchaser at Seller's data processing center or other reasonably convenient location magnetic media records in Seller field format not later than 60 calendar days after the execution of this Agreement and further shall make available to Purchaser such records updated as of the Closing Date, which records shall contain the information related to the items described in Subsections 3.2(b)(6), (b)(7) and (b)(8) above. Such updated records shall be made available at such time after Closing as agreed to by the parties. At its option, Seller may provide such reports in paper format instead of magnetic media format.

Such updated records shall be made available at such time after Closing as agreed to by the parties.

From the date hereof through the Closing Date, Seller shall cooperate and work with Purchaser to complete the tasks required to facilitate the conversion of the Deposit Liabilities. Such tasks include, but are not limited to, providing Purchaser with updated reports and other items as are necessary to complete the conversion process and related testing procedures. Seller and Purchaser agree to reasonably cooperate with each other in resolving any conversion-related issues arising from the conversion of the Deposit Liabilities for a period of ninety (90) calendar days following the date that the conversion is completed.
Delivery of Magnetic Media Records. Seller shall prepare or cause to be prepared at its expense and make available to Purchaser at Seller's data processing center magnetic media records in Seller's field format after the execution of this Agreement as soon as practical and in no event later than 15 calendar days from the date of this Agreement and further shall make available to Purchaser such records updated as of the Closing Date, which records shall contain the information related to the items described in Subsections 2.2(b)(6) and (b)(6) above. Such updated records shall be made available at the Closing or at such time after Closing as agreed to by the parties. If agreed by the parties, Seller may provide some or all of such reports in paper format instead of magnetic media format. Seller agrees to provide Purchaser with copies of this information which relate to assets purchased and liabilities assumed by Purchaser .
Delivery of Magnetic Media Records. Advantage shall prepare or cause to be prepared at its expense and make available to Peoples at Advantage's data processing center or other reasonably convenient location magnetic media records in field format as soon as possible and in any event not later than 60 calendar days after the execution of this Agreement and further shall make available to Peoples such records updated monthly and as of the Closing Date, which records shall contain the information related to the items described in paragraphs 3.2(b)(5) and (6) above. Such updated records shall be made available at such time after the Closing Date as agreed to by the parties.
Delivery of Magnetic Media Records. Each of BCG and Gulfstream shall prepare at its expense and make available to Purchaser at its data processing center magnetic media records in BCG’s or Gulfstream’s field format not later than 30 calendar days after the execution of this Agreement and further shall make available to Purchaser such records updated as of the Closing Date, which records shall contain the information related to the items described in subsection 2.2(b)(2) above. Such updated records shall be made available at such time after Closing as agreed to by the parties. At their option, BCG and Gulfstream may provide such reports in paper format instead of magnetic media format.

  • Delivery of Materials Notwithstanding anything contained in this Agreement to the contrary, if this Agreement is terminated for any reason whatsoever, then Purchaser shall promptly deliver to Seller all Property Information provided to Purchaser by Seller, including copies thereof in any form whatsoever, including electronic form. The obligations of Purchaser under this Section 11.4 shall survive any termination of this Agreement.

The Vendor shall be responsible for making prompt delivery of the Products to DR. 4. All Shipments of Product to DR will be clearly labeled with DR's purchase order number on the outside of the box. If DR is tracking serial numbers for the Products, Vendor will provide with each shipment of the Product a complete list of the serial numbers of the Product enclosed in the box. 5.DR shall have no liability of any kind whatsoever as a result of delay in the delivery of the Products by Vendor, or the delivery of
