If any such assignments shall not be obtained or if any attempted assignment would be ineffective or would materially impair Purchaser's rights under the Commitments in question so that Purchaser would not in effect acquire the benefit of all such rights, Seller, to the maximum extent permitted by law and the specific Commitments and at Seller's expense, shall cooperate with Purchaser, to the maximum extent permitted by law and the specific Commitment, is devising a reasonable arrangement designed to provide such benefits to Purchaser.

Consultant will not knowingly infringe upon any copyright, patent, trade secret or other property right of any former client, employer or third party in the performance of the Services.
