Continued Effectiveness of Agreement. Except as expressly amended by this Amendment, the Agreement shall remain in full force and effect.

This Agreement shall continue to be effective, or be reinstated, as the case may be, if at any time payment of all or any part of the Obligations is rescinded or otherwise must be returned by Owners upon the insolvency, bankruptcy, or reorganization of any of the Managers all as though such payment to Owners had not been made.

In the event of any conflict between this Amendment and the Agreement, the provisions of this Amendment shall govern. Nothing contained in this Consent and Amendment shall be construed to modify, waive, impair or affect any of the obligations, covenants, agreements, terms, provisions or conditions contained in the Agreement, or to waive any breach in the keeping, observance or performance thereof.
