Conditions to Advance of the Loan by Atlanta. Green Bay and Bidco, as the case may be, covenant and agree to make the deliveries provided for in this Section 10.2 in agreed form, and to cause their respective counsel, as applicable, to execute and deliver the applicable legal opinions in agreed form, on or before 9:00 am (Calgary time) on the Business Day prior to the First Take-up Announcement Date set out in the First Take-up and Drawdown Notice. Without limitation to any other rights or remedies which may be available to Atlanta by Applicable Law (including specific performance requiring the delivery of same), the advance of the Loan by Atlanta pursuant to Section 4.9(a)(ii) is, at Atlanta’s election, subject to the following additional conditions in favour of Atlanta to be satisfied on or before 9:00 am (Calgary time) on the Business Day prior to the First Take-up Announcement Date set out in the First Take-up and Drawdown Notice:
