Community Bank has delivered to Financial. Corporation a true, correct and complete copy (including copies of all amendments thereto) of each retirement plan maintained by Community Bank which is intended to be a plan qualified under Section 401(a) of the Code (collectively, the "Community Bank Retirement Plans"), together with true, correct and complete copies of the summary plan descriptions relating to the Community Bank Retirement Plans, the most recent determination letters received from the IRS regarding the Community Bank Retirement Plans, and the most recent Annual Reports (Form 5500 series) and related schedules, if any, for the Community Bank Retirement Plans. The Community Bank Retirement Plans are qualified under the provisions of Section 401(a) of the Code, the trusts under the Community Bank Retirement Plans are exempt trusts under Section 501(a) of the Code, and determination letters have been issued or applied for with respect to the Community Bank Retirement Plans to said effect, including determination letters covering the current terms and provisions of the Community Bank Retirement Plans. There are no issues relating to said qualification or exemption of the Community Bank Retirement Plans currently pending before the IRS, the United States Department of Labor, the Pension Benefit Guarantee Corporation or any court. The Community Bank Retirement Plans and the administration thereof meet (and have met since the establishment of the Community Bank Retirement Plans) in all material respects all of the applicable requirements of ERISA, the Code and all other laws, rules and regulations applicable to the Community Bank Retirement Plans and do not violate (and since the establishment of the Community Bank Retirement Plans have not violated) in any material respect any of the applicable provisions of ERISA, the Code and such other laws, rules and regulations. Without limiting the generality of the foregoing, all reports and returns with respect to the Community Bank Retirement Plans required to be filed with any governmental department, agency, service or other authority have been properly and timely filed. There are no issues or disputes with respect to the Community Bank Retirement Plans or the administration thereof currently existing between Community Bank, or any trustee or other fiduciary thereunder, and any governmental agency, any current or former employee of Community Bank or beneficiary of any such employee, or any other person or entity.
