Canadian Reporting Issuer. The Company is a “reporting issuer” (or equivalent) in all of the provinces of Canada (other than Quebec) under Canadian securities laws and is either listed on the list of reporting issuers as not being in default or not on the list of defaulting reporting issuers maintained by the applicable securities regulatory authority in each such Canadian jurisdiction, as the case may be.
Canadian Reporting Issuer. The Corporation is, and will at the Applicable Time be, a reporting issuer in the Canadian Qualifying Jurisdictions not in default of any requirement under applicable Canadian Securities Laws. In particular, without limiting the foregoing, no material change relating to the Corporation has occurred with respect to which the requisite material change report has not been filed on a non-confidential basis with all relevant securities regulatory authorities (unless originally filed on a confidential basis and subsequently made non-confidential).
Canadian Reporting Issuer. The Company is a reporting issuer in the Province of Quebec and is not on the list of defaulting reporting issuers maintained by the Autorité des marchés financiers (Québec) (the “AMF”). The Company has not filed any confidential material change reports which remain confidential at the date hereof.
Canadian Reporting Issuer. The Company is a reporting issuer in each of the provinces of British Columbia, Alberta, Saskatchewan, Manitoba, Ontario, New Brunswick, Nova Scotia, Xxxxxx Xxxxxx Island and Newfoundland (the "Canadian Reporting Jurisdictions") and is not noted in default on the list of reporting issuers maintained by the applicable authorities in each Canadian Reporting Jurisdictions that maintains such a list. The Company has not filed any confidential material change reports which remain confidential at the date hereof.

No order ceasing or suspending trading in securities of the Company or prohibiting the sale of securities by the Company has been issued by any Canadian securities regulatory authority, and no proceedings for this purpose have been instituted, or are, to the Company's knowledge, pending, contemplated or threatened. The Company has not filed any confidential material changes reports which remain confidential at the date hereof.

Any certificate signed by any officer or representative of the Company or any of its subsidiaries and delivered to the Agent or counsel for the Agent in connection with an issuance of Shares shall be deemed a representation and warranty by the Company to the Agent as to the matters covered thereby on the date of such certificate. The Company acknowledges that the Agent and, for purposes of the opinions to be delivered pursuant to Section 4(o) hereof, counsel to the Company and counsel to the Agent, will rely upon the accuracy and truthfulness of the foregoing representations and hereby consents to such reliance.
Canadian Reporting Issuer. Each of the REIT and Granite GP is a “reporting issuer” or the equivalent in good standing under the Canadian Securities Laws of each of the Canadian Qualifying Jurisdictions and, to the knowledge of Granite, no circumstances exist which could jeopardize any such status.

The Company is not relying on and will not at the First Closing Date and at each applicable Option Closing Date be relying on any of the exemptions set out in Section 11 of British Columbia Instrument 51-517 - Temporary Exemption from Certain Corporate Finance Requirements with Deadlines during the Period from June 2 to August 31, 2020, or the equivalent exemptions in any of the other Canadian Qualifying Jurisdictions.

The Company has not filed any confidential material change reports which remain confidential at the date hereof.
