By-Laws and Resolutions. Copies, certified by the Secretary or Assistant Secretary of the Borrower, of its by-laws and of its Board of Directors’ resolutions and of resolutions or actions of any other body authorizing the execution of the Facility Documents to which the Borrower is a party.

For each Credit Party, (a) its by-laws or operating agreement, as applicable, together with all amendments thereto and (b) resolutions of such Person's Board of Directors or Board of Members, as applicable, approving and authorizing the execution, delivery and performance of the Loan Documents to which it is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person's secretary or an assistant secretary as being in full force and effect without any modification or amendment shall have been delivered to Agent.

Copies of (i) Borrower’s by-laws or other equivalent organizational documents, (ii) the resolutions of Borrower’s Board of Directors approving each Credit Document to which Borrower is a party, and (iii) all documents evidencing other necessary corporate action and governmental approvals, if any, with respect to each such Credit Document, certified as of the Closing Date as true and correct in each case by a Responsible Officer of Borrower.
By-Laws and Resolutions. Agent shall have received copies of (i) Borrower's by-laws, (ii) the resolutions of Borrower's Board of Directors approving the execution, delivery and performance of this Agreement and the Notes and the incurrence of the borrowings hereunder and (iii) all documents evidencing other necessary corporate action, if any, with respect to such execution, delivery, performance and incurrence, certified (as of a date not earlier than the date hereof) as being true and correct in each case by a Responsible Officer of Borrower;

No resolution of (i) the Participations holder or (ii) the board of directors or other administrative or governing body of each of the SPVs has been passed which is not contained in the relevant corporate books and registers of each SPVs.
