breach of a representation" includes a misrepresentation. "Loss" means any loss, cost, damage, expense, payment, liability or obligation incurred with respect to the facts or circumstances with respect to which such term is used, including: (a) related attorneys', accountants' and other professional advisors' fees and expenses; (b) amounts paid in settlement of a dispute with a person not a party that if resolved in favor of such third party would constitute a matter to which a party is indemnified pursuant to this Agreement, even though such settlement does not acknowledge that the underlying facts or circumstances constitute a breach of a representation and warranty or other indemnified matter; (c) reasonable costs and expenses necessary to avoid having a claim for indemnification against another party pursuant to this Agreement or to mitigate any such claim; (d) any taxes of the recipient on indemnification payments made to it; and (e) interest on each of the foregoing at the Prime Rate from the date the Loss was incurred until paid. "Prime Rate" means the prime rate as published in the "Money Rates" table of The Wall Street Journal on the first day of the calendar quarter on which The Wall Street Journal was published in which the Loss was incurred and on the first such day of each subsequent calendar quarter in which the Loss is unpaid.

  • Breach of Contract means the failure of a Party to perform any of its obligations in accordance with this Contract, in whole or in part or in a timely or satisfactory manner. The institution of proceedings under any bankruptcy, insolvency, reorganization or similar law, by or against Contractor, or the appointment of a receiver or similar officer for Contractor or any of its property, which is not vacated or fully stayed within 30 days after the institution of such proceeding, shall also constitute a breach. If Contractor is debarred or suspended under §24-109-105, C.R.S. at any time during the term of this Contract, then such debarment or suspension shall constitute a breach.

  • Breach of Agreement provisions of Section 5(a)(ii) will apply to Party A and will not apply to Party B.

  • Breach of trust means a breach of any duty imposed on a trustee by this Act or by the terms of the trust;

  • Misrepresentation means an untrue statement of a material fact or an omission to state a material fact required or necessary to make the statements contained therein not misleading in light of the circumstances in which they are made.

  • Consequential Damages means Losses claimed to have resulted from any indirect, incidental, reliance, special, consequential, punitive, exemplary, multiple or any other Loss, including damages claimed to have resulted from harm to business, loss of anticipated revenues, savings, or profits, or other economic Loss claimed to have been suffered not measured by the prevailing Party’s actual damages, and any other damages typically considered consequential damages under Applicable Law, regardless of whether the Parties knew or had been advised of the possibility that such damages could result in connection with or arising from anything said, omitted, or done hereunder or related hereto, including willful acts or omissions.

  • Negligence means the failure to exercise "Reasonable Care".

  • Actual Damages has the meaning set forth in Section 12.4(C).

  • BREACH OF CONTRACTUAL OBLIGATION means amongst others also the following:

  • Willful Misconduct means intentional disregard of good and prudent standards of performance or proper conduct under the Contract with knowledge that it is likely to result in any injury to any person or persons or loss or damage of property.

  • Special Damages shall have the meaning as set forth in Section 5.07.

  • Tort means in breach of contract.

  • Material Damage and "Materially Damaged" means damage which, in Seller's reasonable estimation, exceeds $200,000.00 to repair or which, in Seller's reasonable estimation, will take longer than ninety (90) days to repair.

  • Torture means the intentional infliction of severe pain or suffering, whether physical or mental, upon a person in the custody or under the control of the accused; except that torture shall not include pain or suffering arising only from, inherent in or incidental to, lawful sanctions;

  • Consequential Loss means loss of profits, anticipated loss of profit or revenue, loss of production, loss of business opportunity, loss of or damage to goodwill or reputation, loss of use or any other similar loss, but excludes:

  • Loss or Damage means any loss or damage to the Vehicle, including that caused by theft of the Vehicle or by adverse weather events, that requires repair or replacement including the loss of use of the Vehicle (demurrage), legal expenses, assessment fees, towing and recovery costs, storage, service charges and any appraisal fees of the Vehicle;
