Borrower Resolutions. Certified copies of resolutions of -------------------- each Borrower, its partners and authorized agents, as applicable, authorizing the execution and delivery and the consummation of the transactions contemplated by this Agreement and the Other Agreements and all other documents or instruments to be executed and delivered in conjunction herewith and therewith by each Borrower.
Borrower Resolutions. Copies for each Bank duly certified by the secretary or an assistant secretary of the Borrower, of (i) resolutions of the Borrower's Board of Directors authorizing (A) the execution and delivery of this Fourth Amendment and related documents, (B) the pledge of the Micropump Shares and the Micropump Intercompany Note and (C) the borrowings under the Credit Agreement, as amended hereby, (ii) all documents evidencing other necessary corporate action, and (iii) all approvals or consents, if any, with respect to this Fourth Amendment.

Administrative Agent shall have received, with a counterpart for each Lender, copies, duly certified by the Secretary or an Assistant Secretary of Borrower, of (i) resolutions of Borrower's Board of Directors and/or TIMET Finance's Board of Directors authorizing the execution and delivery of this Amendment and Waiver and the other agreements, instruments and documents contemplated hereby, and the transactions contemplated hereby, (ii) all documents evidencing other necessary corporate action, if any, and (iii) all approvals or consents, if any, necessary with respect to this Amendment and Waiver and the other agreements, instruments and documents contemplated hereby, and the transactions contemplated hereby.

The Administrative Agent shall have received, with a counterpart for each Lender, copies, duly certified by the Secretary or an Assistant Secretary of Borrower, of resolutions of Borrower's Board of Directors authorizing the execution and delivery of this Amendment and the other agreements, instruments and documents contemplated hereby. Borrower Resolutions. Borrower Resolutions. Borrower agrees to deliver to Agent on or before -------------------- December 11, 2001 a copy of a resolution passed by the board of directors of Borrower, certified by the Secretary or an Assistant Secretary of Borrower, ratifying the execution, delivery and performance of this Waiver. Borrower further agrees that it shall be an additional Default under the Credit Agreement if Borrower shall fail to deliver such resolutions to Agent on or before such date.

A copy, duly certified by the secretary or an assistant secretary of Borrower of (i) resolutions of the Board of Directors of Borrower authorizing (A) the borrowings by Borrower hereunder, (B) the execution, delivery and performance by Borrower of this Agreement and each Related Agreement to which Borrower is a party or by which it is bound, and (C) certain officers or employees of Borrower to request borrowings by telephone and to execute Borrowing Base Certificates, and the consent of the shareholders of Borrower thereto, (ii) all documents evidencing any other necessary corporate action with respect to this Agreement and the Related Agreements, (iii) all approvals or consents, if any, with respect to this Agreement and the Related Agreements, (iv) a list of the names of all officers and directors of Borrower, together with the true signatures of such officers and directors, and specifying those authorized to sign this Agreement and the Related Agreements, (v) the by-laws of Borrower, (vi) the Articles of Incorporation of Borrower and (vii) a list of all shareholders of Borrower and the number of shares of Borrower's stock owned by each;
