Certified Copies of Resolutions. Purchaser shall have received copies, certified by the duly qualified and acting Secretary or Assistant Secretary of the Company and each corporate general partner of any Stockholder, of resolutions adopted by the Board of Directors of the Company and each such corporate partner of any Stockholder approving this Agreement and the Other Agreements and the consummation of the transactions contemplated hereby and thereby.
Certified Copies of Resolutions. Buyer shall deliver to Seller copies, certified by the duly qualified and acting Secretary of Buyer, of resolutions adopted by the board of directors of Buyer approving this Agreement and the consummation of the transactions contemplated hereby.

Each party hereto shall have delivered to the other copies, certified by the duly qualified and acting secretary or assistant secretary of such other party, of resolutions adopted by the Board of Directors of such party approving this Agreement and the consummation of the transactions contemplated hereby (including, but not limited to, execution of the Ancillary Agreements).

The Franchisee shall have furnished the City with a certified copy of the resolution(s) duly adopted by the Board of Directors or other authorized representative of the Franchisee, approving the execution, delivery and performance of this Agreement and approving the execution, delivery and performance of all other documents, certificates, and other instruments required to be furnished to the City by and pursuant to the terms of this Agreement;
Certified Copies of Resolutions. The Lenders shall have received certified copies of resolutions of the board of directors of the Borrower, in form and substance satisfactory to the Lenders and its counsel, with respect to the authorization and execution of this Loan Agreement and the issuance of the Notes and Warrants.

Satellink shall have delivered ------------------------------- to Newco copies, certified by the duly qualified and acting Secretary or Assistant Secretary of Satellink, of resolutions adopted by the Manager of Satellink approving this Agreement and the consummation of the transactions contemplated hereby.

Each of Premier and Premier New Orleans shall have delivered to Buyer copies, certified by the duly qualified and acting Secretary or Assistant Secretary of each of Premier and Premier New Orleans, of resolutions adopted by the Board of Directors of each of Premier and Premier New Orleans, and of resolutions adopted by the shareholders of each of Premier and Premier EXECUTION COPY New Orleans, approving this Agreement and the consummation of the transactions contemplated hereby.

Buyer shall have delivered to Premier and Premier New Orleans copies, certified by the duly qualified and acting Secretary or Assistant Secretary of Buyer, of resolutions adopted by the Manager of Buyer approving this Agreement and the consummation of the transactions contemplated hereby.

The Lender shall have received certified copies of resolutions of the board of directors of the Borrower, in form and substance satisfactory to the Lender and its counsel, with respect to the authorization and execution of this Agreement and the issuance of the Note.

Newco shall have delivered to ------------------------------- Satellink copies, certified by the duly qualified and acting Secretary or Assistant Secretary of Newco, of resolutions adopted by the Board of Newco, approving this Agreement and the consummation of the transactions contemplated hereby.
