BC - Accredited Investor Exemption. The Undersigned is purchasing the Securities as principal for its own account and not for the benefit of any other person and not with a view to the resale or distribution of all or any of the Securities, is an "accredited investor" as defined in Multilateral Instrument 45-103 "Capital Raising Exemptions" published by the Canadian Securities Administrators, and no commission or finder's fee is paid to a non-arm's length party in connection with the issuance of the Securities. BC - Accredited Investor Exemption. If the Buyer is purchasing the Convertible Debentures pursuant to an exemption from the prospectus and registration provisions of the BC Act pursuant to section 2.3 of NI45-106, then the Buyer represents and warrants to the Company (which representations and warranties shall survive closing) that the Buyer is an “accredited investor” as that term is defined in section 1.1 of NI45-106 and the Buyer has duly completed and executed the Canadian Certificate.
