Authorised Counterparties for Over the-Couoter Derivatives Counterparties should have a minimum short-term credit rating of A1 (S&P or equivalent) or better. Each of the counterparties for use in over-the-counter Derivative Contract transactions listed below are viewed by the Trustee as eligible for use by the Manager under the Trustee’ s and internal screening processes. UBS AGWestpac Banking Corporation The Manager must enter into appropriate International Swaps and Derivative Association (ISDA) Master Agreements (or International Foreign Exchange Master Agreement (IFEMA)/Foreign Exchange and Options Master Agreement (FEOMA) for foreign currency) with all entities with whom there is a forward currency and/or over-the-counter Derivative Contract exposure. Additionally, the Manager must ensure that the Manager and Portfolio is listed as a party to each respective ISDA/IFEMA/FEOMA agreement that the Manager is transacting under. Spot currency transactions are not subject to this requirement. For the purpose of this section, “spot currency transactions” are defined to be currency transactions that are: • required to settle the purchase of an authorised asset, the price of which is denominated in a foreign currency, or • required to effect the repatriation of foreign currency proceeds ifom the sale of an asset, and • such settlement or repatriation generally occurs within five trading days ofthe date of trade. The Manager is permitted to trade spot currency transactions with any counterparty engaged by the Manager.

  • PARTIES TO AGREEMENT This agreement is between the University of Central Florida (UCF) on behalf of its Board of Trustees, for the benefit of the University of Central Florida Department of Housing and Residence Life (UCF DHRL), and any person seeking residence accommodations in any of the various UCF DHRL residences (the Student). If the Student is a minor, or suffers any incapacity affecting the Student’s legal ability to enter into a contract, the term the Student shall also include the Student’s parent or legal guardian. The Student may not designate another person to act as agent or representative of the Student with regard to this agreement (i.e., having a friend pick up or turn in keys). The Student remains personally responsible for all rights and obligations arising from or related to this agreement.

  • Contractors Submission Respecting the Agreement The Contractor shall, as part of the Contractor's submission respecting this Contract, complete the attached Schedule B, Identification of Principles; Schedule C, Schedule of Tendered Unit Prices; Schedule D, Schedule of Equipment to be used on the work; and Schedule E, Schedule of Sub-Contractors. The Contract including all appended schedules shall be completed in complete conformity with the instructions to bidders contained in the document entitled "General Provisions and Contract Specification for Highway Construction". In presenting the Contractor’s submission for consideration by the Minister, the Contractor understands that until, and unless, the Contract is endorsed by the Minister, no Contract between the parties shall exist and the Minister shall not be bound to endorse any Contract.

  • PARTIES TO THE CONTRACT This Contract is solely between the Company and the SBA which administers the FHCF. In no instance shall any insured of the Company or any claimant against an insured of the Company, or any other third party, have any rights under this Contract, except as provided in Article XIV. The SBA will only disburse funds to the Company, except as provided for in Article XIV of this Contract. The Company shall not, without the prior approval of the Office of Insurance Regulation, sell, assign, or transfer to any third party, in return for a fee or other consideration any sums the FHCF pays under this Contract or the right to receive such sums.

  • Program Requirements Provided At No Charge to the Judicial Council A. The Contractor shall provide the following items during the Program at no charge to the Judicial Council:

  • Third-Party Certifications and Audits Upon Customer’s written request at reasonable intervals, and subject to the confidentiality obligations set forth in the Agreement and this DPA, Data Processor shall make available to Customer (or Customer’s independent, third-party auditor that is not a competitor of Data Processor) a copy of Data Processor’s then most recent third-party audits or certifications, as applicable (provided, however, that such audits, certifications and the results therefrom, including the documents reflecting the outcome of the audit and/or the certifications, shall only be used by Customer to assess compliance with this DPA and/or with applicable Data Protection Laws and Regulations, and shall not be used for any other purpose or disclosed to any third party without Data Processor’s prior written approval and, upon Data Processor's first request, Customer shall return all records or documentation in Customer's possession or control provided by Data Processor in the context of the audit and/or the certification). With respect to audits and inspections, the parties shall discuss in good faith and agree on the scope, timing and details of the audits and inspections. To the extent that Data Processor’s obligations in this section involve more than 8 hours/man of work, Customer shall bear the costs and expenses of complying with this clause.

  • Contracting Party Consent Each Contracting Party hereby gives its unconditional consent to the submission of a dispute to international arbitration in accordance with this Part.

  • Procurement from UN Agencies Goods estimated to cost less than $50,000 equivalent per contract may be procured directly from Inter-Agency Procurement Services Agency in accordance with the provisions of paragraphs 3.1 and 3.9 of the Procurement Guidelines.

  • AUTHORITY TO EXECUTE AGREEMENT Each of the Parties represents and warrants that its undersigned representative has been expressly authorized to execute this Agreement for and on behalf of such Party.
