Common use of Appearance as a Witness Clause in Contracts

Appearance as a Witness. Notwithstanding any other provision of this Article IX, the Company may pay or reimburse expenses incurred by a Manager in connection with his or her appearance as a witness or other participation in a Proceeding at a time when he or she is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of this Article IXVIII, the Company may pay or reimburse expenses incurred by a Manager any Member, Director or Officer in connection with his such Member’s, Director’s or her Officer’s appearance as a witness or other participation in a Proceeding at a time when he such Member, Director or she Officer is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of this Article IXVIII, the Company may pay or reimburse expenses incurred by a the Member, any Manager or any officer in connection with his such Member’s, Manager’s or her officer’s appearance as a witness or other participation in a Proceeding at a time when he such Member, Manager or she officer is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of this ----------------------- Article IXVIII, the Company may pay or reimburse reasonable out-of-pocket expenses ------------ incurred by a Manager Managing Member or such Managing Member's officers, directors, employees, partners and agents in connection with his or her such Person's appearance as a witness or other participation in a Proceeding related to or arising out of the business of the Company at a time when he or she such Person is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of ----------------------- this Article IXVIII, the Company may pay or reimburse reasonable out-of-pocket ------------ expenses incurred by a Manager Member, including the Managing Member or such Managing Member's officers, directors, employees, partners and agents in connection with his or her such Person's appearance as a witness or other participation in a Proceeding related to or arising out of the business of the Company at a time when he or she such Person is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of this Article IXX, the Company may pay or reimburse expenses incurred by a Manager or any other indemnified Person under Section 10.3 hereof, whether or not such Person is still serving in such capacity at such time, in connection with his or her appearance as a witness or other participation in a Proceeding at a time when he or she is not a named defendant or respondent in the Proceeding.
