Amortization of Organizational Expenses. The Issuer’s financial statements are prepared in accordance with the relevant accounting standard adopted by the Issuer. The directors of the Issuer reserve the right to amortize expenses in accordance with the accounting standard adopted by the Issuer if they deem such amortization appropriate. Business Risk There can be no assurance that the Issuer will achieve its investment objective. There is no operating history by which to evaluate its likely future performance. The investment results of the Issuer are reliant upon the success of the Issuer.

Amortization of Organizational Expenses. The organizational expenses of the Partnership shall be amortized over a sixty (60) month period to the extent permitted by Section 709 of the Code.

  • Preservation of Organization The Sellers shall use their best efforts to preserve the business organization of the Company (including Subsidiaries) intact and to persuade all employees of the Company or Subsidiaries to remain in its employment after the Closing; provided that nothing herein contained shall be deemed to constitute an obligation of the Sellers, Purchaser or the Company to continue the employment of any such employee. The Sellers shall also use their best efforts to retain, preserve and maintain the business relations of the Company or the Subsidiaries with its suppliers, customers and others having business relationships with it.

  • General Expenses You authorize the Manager to charge your account with your Underwriting Percentage of all expenses of a general nature incurred by the Manager and Co-Managers under the applicable AAU in connection with the Offering, including the negotiation and preparation thereof, or in connection with the purchase, carrying, marketing and sale of any securities under the applicable AAU and any Intersyndicate Agreement, including, without limitation, legal fees and expenses, transfer taxes, costs associated with approval of the Offering by the NASD and the costs of currency transactions (including forward and hedging currency transactions) entered into to facilitate settlement of the purchase of Securities permitted under Section 3.1 hereof.
