Names, Addresses and Subscriptions. The name, address and e-mail address, the number and class of Units held and the Capital Contribution (as defined below) of each Member are set forth in the books and records of the Company. The Company shall maintain such books and records in a manner consistent with this Agreement and shall cause such books and records to be revised to reflect (a) the admission of any additional or substituted Member occurring pursuant to the terms of this Agreement, (b) the withdrawal, or partial withdrawal, of any Member pursuant to the terms of this Agreement, (c) any change in the identity, address or e-mail address of a Member, or (d) any changes in the number of Units owned or the Member’s Capital Contribution occurring pursuant to the terms of this Agreement.

The General Partner shall cause Schedule A to be revised, without the necessity of obtaining the consent of any Limited Partner, to reflect any changes in the identity, addresses or Subscriptions of the Partners occurring pursuant to the terms of this Agreement. The Partnership shall not admit foreign Persons or Persons who are retirement or other plans subject to the Employee Retirement Income Security Act of 1974, as amended, or Section 4975 of the Code.
