Amendment and Waiver Fees. (i) Without limitation to Sections 5(b) and (c) below, and notwithstanding anything in the Note Purchase Agreement to the contrary, each Note Party hereby ratifies, confirms, reaffirms, agrees and acknowledges the following:
Amendment and Waiver Fees. The City hereby agrees to pay (i) to the Bank, on the date of each amendment to a Letter of Credit a non-refundable fee equal to $3,500 to the Bank and (ii) to the Bank, on the date of each amendment to the Agreement (or any Related Document, the amendment, supplement or modification of which requires the consent of the Bank), or execution of any standard waiver or consent, a non-refundable fee equal to $3,500 to the Bank, plus, in each case, the reasonable fees and expenses of counsel to the Bank.
Amendment and Waiver Fees. The City, for and on behalf of its Department of Aviation, hereby agrees to pay to the Lender, on the date of each amendment to this Agreement or any other Related Document, or execution of any standard waiver or consent relating thereto, in each case, an amendment fee in an amount equal to $3,500 (or such other amount reasonably agreed to by the City, for and on behalf of its Department of Aviation, and the Lender) plus the reasonable fees and expenses of counsel to the Lender in an amount to be agreed upon by the parties prior to the commencement of such action. Such fees shall be fully earned when paid and shall not be refundable for any reason whatsoever.
Amendment and Waiver Fees. An amendment and waiver fee payable to the Agent for the benefit of the Lenders in an amount equal to $3,500 per Lender for this Agreement.
