Each Note Party has good title to, rights in, and the power to transfer each item of the Collateral upon which it purports to ▇▇▇▇▇ ▇ ▇▇▇▇ hereunder, free and clear of any and all Liens except for Permitted Liens.
Each Note Party shall execute any further instruments and take such further action as the Collateral Agent reasonably requests to perfect, protect, ensure the priority of or continue the Collateral Agent’s Lien on the Collateral or to effect the purposes of this Indenture.
As used in this clause (d), “Material Adverse Change” means a material adverse effect on (a) the perfection or priority of the Collateral Agent’s Lien in the Collateral; (b) the business, assets, operations, or financial condition of the Note Parties, taken as a whole; or (c) the ability of the Company to repay the Obligations or of any other Note Party to perform its payment obligations under the Loan Documents.
