Agency Fee Letter. The Borrower agrees to pay to the Administrative Agent the fees in the amounts and on the dates set forth in the Agency Fee Letter.
Agency Fee Letter. The Administrative Agent and the Borrower shall have entered into a fee letter in connection with the fees to be paid to the Administrative Agent in connection with such capacity.

Agency Fee Letter. On or prior to the Closing Date, the Company shall have executed and delivered the Agency Fee Letter to the Administrative Agent.
