Arrangement, Agency Fees. The Company shall pay an arrangement fee, underwriting fee, and certain commitment fees to the Arranger and BofA for their own account, and shall pay an agency fee and certain bid auction fees to the Agent for the Agent's own account, as required by the letter agreement between the Company and the Arranger and Agent dated June 19, 1996 (the "Fee Letter").

The Borrower shall pay an arrangement fee to the Arranger for the Arranger's own account, and shall pay agency fees to the Agent for the Agent"s own account, as required by the letter agreement ("Arrangement Fee Letter") among the Borrower, the Arranger and the Agent dated February 2, 1998.

The Borrowers shall pay on a several, and not on a joint, basis an arrangement fee to the Arranger for the Arranger's own account, and shall pay agency fees to the Agent for the Agent's own account, as required by the letter agreement ("Arrangement Fee Letter") among the Borrowers, the Arranger and the Agent dated June 7, 1999. Van Xxxxxx Xxxme Rate Income Trust shall be responsible for its pro rata portion of such fees and Van Xxxxxx Xxxior Floating Rate Fund shall be responsible for its pro rata portion of such fees based upon the relative net asset value of each Borrower on any date of determination thereof.

The Company shall pay arrangement fees to each Lead Arranger for such Lead Arranger's own account, and shall pay agency and other fees to the Administrative Agent for the Administrative Agent's own account, as mutually agreed to in writing from time to time by the Company, the Lead Arrangers and the Administrative Agent.

The Borrower shall pay an arrangement fee to the Arrangers for their respective accounts, and shall pay an agency fee to the Agent for the Agent’s account, as required by the separate letter agreements ("Fee Letters") between the Borrower and each of the Arrangers and between the Borrower and the Agent, each dated May 2, 2013.

The Company shall pay a facility fee and an agency fee to the Administrative Agent for the Administrative Agent's own account, and shall pay a facility fee and an agency fee to the Documentation Agent for the Documentation Agent's own account, as required by the letter agreement ("Fee Letter") between the Company, the Administrative Agent and the Documentation Agent dated July 29, 1997 and accepted and agreed by Falcon Holding Group, L.P. on August 4, 1997.

The Company shall pay an arrangement fee to the Lead Arranger for the Lead Arranger's own account, and shall pay an agency fee to the Agent for the Agent's own account, as required by the letter agreement ("Fee Letter") between the Company and the Lead Arranger and Agent dated August 26, 1998.
Arrangement, Agency Fees. The Company agrees to pay to the Administrative Agent and the Lead Arrangers such fees at such times and in such amounts as are set forth in the applicable fee letters dated September 14, 2010 to the Company from each such Person, as each may be amended or replaced from time to time (the “Fee Letters”).
