Adjustment of Franchise Fee. (1) The Concessioner or the Director may request, in the event that either considers that extraordinary, unanticipated changes have occurred after the effective date of this Contract, a reconsideration and possible subsequent adjustment of the franchise fee established in this section. For the purposes of this section, the phrase “extraordinary, unanticipated changes” will mean extraordinary, unanticipated changes from the conditions existing or reasonably anticipated before the effective date of this Contract which have or will significantly affect the probable value of the privileges granted to the Concessioner by this Contract. For the purposes of this section, the phrase “probable value” means a reasonable opportunity for net profit in relation to capital invested and the obligations of this Contract.

For the purposes of this section, the phrase “extraordinary, unanticipated changes” shall mean changes from the conditions existing or reasonably anticipated before the effective date of this Contract that have affected or will significantly affect, positively or negatively, the Concessionaire.
