Opinion of Counsels. Xxxxxxx Xxxxx shall have received the favorable opinions of counsel, required to be delivered pursuant to Sections 7(p) and 7(q) on or before the date on which such delivery of such opinion is required pursuant to Sections 7(p) and 7(q).
Opinion of Counsels. The Purchaser shall have received legal opinions from (i) the Cayman Islands, the British Virgin Islands, and PRC counsels to the Group Companies, and (ii) the Hong Kong counsel addressed to the limited partner of the Purchaser, dated as of the Closing Date, in form and substance reasonably satisfactory to the Purchaser and/or the limited partner of the Purchaser (as the case may be).
Opinion of Counsels. (i) The Borrower shall have provided confirmation from its legal counsels: (i) that the Borrower has entered into valid, binding and enforceable Project Documents required by it to be executed prior to Initial Drawdown; (ii) that the Borrower has entered into binding agreements for financing as required under the Financing Plan to meet the Estimated Project Costs and that the conditions for Drawdown of amounts under such Financing Documents have been satisfied or waived; (iii) that the Borrower accepts to provide, effectuate and perfect the Security Interest in the form and manner as may be required by the Lenders from time to time; (iv) all Clearances required prior to Initial Drawdown have been obtained and are in full force and effect; and (v) all Taxes (including the stamp duty and registration fees) other than those Contested in Good Faith have been duly and validly paid. The Facility Agent shall have received legal opinions pertaining inter alia to the validity and enforceability of the Transaction Documents, each dated the date of the Notice of Drawdown in 40 relation to the Initial Drawdown from the following persons:
Opinion of Counsels. KeyBanc shall have received the favorable opinions of counsel, required to be delivered pursuant to Sections 7(p) and 7(q) on or before the date on which such delivery of such opinion is required pursuant to Sections 7(p) and 7(q).
Opinion of Counsels. The Company shall have received from Xxxxxxxx Xxxxxx, counsel to Parent, and Parent shall have received from Ellenoff Xxxxxxxx & Schole LLP, counsel to the Company, an opinion of counsel in the form mutually agreed upon by the parties.
Opinion of Counsels. An opinion of Borrower's and Guarantor's --------------------- counsel stating: (i) that the Loan is not usurious under Applicable Laws; (ii) that the Loan Documents are validly executed, duly authorized and binding and enforceable in accordance with their terms; (iii) that the execution and delivery of the Loan Documents and the performance of the transactions contemplated thereby do not violate or contravene any law, court order, judgment or contract to which Borrower is a party and grant to Lender the security interests set forth in this Agreement; and (iv) such further opinions as Lender shall require.
Opinion of Counsels. Alibaba shall have received an opinion, addressed to it and dated the Closing Date, from each of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, Deacons, Xxxxxxx Xxxx & Xxxxxxx and Haiwen & Partners, each a counsel to Yahoo!, substantially in form of Exhibit I hereto.
Opinion of Counsels. Yahoo! shall have received an opinion, addressed to it and dated the Closing Date, from each of Debevoise & Xxxxxxxx LLP, Xxxxxx & Calder and TransAsia Lawyers, each a counsel to Alibaba, substantially in the form of Exhibit J hereto.
Opinion of Counsels. Each Purchaser shall have received from each ------------------- of (i) Holland & Xxxx LLP, counsel for the Company and (ii) Estudio Xxxxxxxxx Xxxxxxxxxxxx, Canelo & Asociados, special Peruvian counsel for the Company, an opinion with respect to the matters set forth in Exhibit C-1 and C-2 attached hereto, which shall be addressed to each Purchaser, dated the date of the Closing, and in form and substance reasonably satisfactory to each Purchaser.
Opinion of Counsels. The Agents shall have received the favorable opinions of counsel, required to be delivered pursuant to Sections 7(p) and 7(q) on or before the date on which such delivery of such opinion is required pursuant to Sections 7(p) and 7(q).
