Yamana Offer definition

Yamana Offer means the offer to purchase all of the outstanding Common Shares made by Yamana on July 20, 2007, as varied and/or extended by a Notice of Variation and Extension dated August 14, 2007, a Notice of Extension dated September 12, 2007, a Notice of Variation and Extension dated September 20, 2007, a Notice of Variation and Extension dated September 27, 2007 and a Notice of Extension and Subsequent Offering Period dated October 15, 2007;
Yamana Offer means the offer made by Yamana to purchase all of the outstanding Meridian Shares on the basis of 2.235 Yamana Shares and C$3.15 in cash for each Meridian Share, upon and subject to the terms and conditions set out in the Yamana Circular.

  • Offer Shares shall have the meaning ascribed to it in Section 2.4.1.

  • Sell Offer means an offer to sell Capacity Resources in a Base Residual Auction, Incremental Auction, or Reliability Backstop Auction.

  • Offer means “proposals” in negotiation.

  • Final Offer means the offer on which a resource was dispatched by the Office of the Interconnection for a particular clock hour for the Operating Day. Final RTO Unforced Capacity Obligation:

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • Bona Fide Offer means an actual or genuine offer which includes a specific wage or a training opportunity at a specified place when used to determine whether the parent has refused an offer of training or employment.

  • Tender Offer means a takeover offer, tender offer, exchange offer, solicitation, proposal or other event by any entity or person that results in such entity or person purchasing, or otherwise obtaining or having the right to obtain, by conversion or other means, greater than 10 per cent. and less than 100 per cent. of the outstanding voting shares of the Share Company, as determined by the Determination Agent, based upon the making of filings with governmental or self-regulatory agencies or such other information as the Determination Agent deems relevant.

  • Offer Acceptance Time is defined in Section 6.1(b) of the Agreement.

  • Active Offer means the clear and proactive offer of service in French to individuals, from the first point of contact, without placing the responsibility of requesting services in French on the individual;

  • Proposed Transaction is defined in Section 6.2(a).

  • Proposed Sale has the meaning set forth in Section 2.4(a).

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • Offer to Purchase means an offer to purchase Notes by the Company from the Holders commenced by mailing a notice to the Trustee and each Holder stating:

  • Tenderer/Bidder means the firm or Company (hereinafter called Tenderer/ Bidder) who duly submits the tender after accepting all the terms & conditions of the tender document.

  • Offer Notice shall have the meaning set forth in Section 4.1.

  • Third Party Offer has the meaning set out in Section 6.4;

  • Sell or Offer to Sell means to: • sell, offer to sell, contract to sell or lend, • effect any short sale or establish or increase a Put Equivalent Position or liquidate or decrease any Call Equivalent Position • pledge, hypothecate or grant any security interest in, or • in any other way transfer or dispose of, in each case whether effected directly or indirectly.

  • Change of Control Offer has the meaning provided in Section 4.15.

  • Offered Shares has the meaning set forth in Section 3.02(a).

  • Last best offer package means the offer exchanged by parties not less than 14 days prior

  • Shelf Offering Notice has the meaning set forth in Section 1(d)(i).

  • Qualifying Public Offering means a firm commitment underwritten public offering of Stock for cash where the shares of Stock registered under the Securities Act are listed on a national securities exchange.

  • Tender Offer Date means, in respect of a Tender Offer, the date on which voting Shares in the amount of the applicable percentage threshold are actually purchased or otherwise obtained (as determined by the Calculation Agent).
