Tender Offer: Applicable; provided that Section 12.1(d) of the 2002 Definitions shall be amended by replacing the reference therein to “10%” with a reference to “20%”.
Within 30 days following any Change of Control Triggering Event, the Issuer will deliver a notice to each Holder, with a copy to the Trustee and the Paying Agent, setting forth the procedures governing the Change of Control Offer as required by the Indenture.
