Xxxxxxxx Shares definition

Xxxxxxxx Shares means common shares in the capital of Xxxxxxxx as currently constituted and including, for greater certainty, where applicable, any corresponding Xxxxxxxx CDIs.

Xxxxxxxx Shares has the meaning set forth in Section 3.3(d).

Xxxxxxxx Shares means the duly issued and outstanding Common Shares to be owned by Xxxxxxxx or its Affiliate on the Closing Date and that shall represent 60% (sixty per cent) of the total and voting capital of Newco.

• The assignment, transfer, and delivery by Xxxxxxxx of the Xxxxxxxx Shares to TRSG shall be effected on the Closing Date by Xxxxxxxx’x execution and delivery of documents and instruments necessary to assign, transfer, and deliver the Xxxxxxxx Shares, free and clear of any and all liens, encumbrances, security interests, claims and other restrictions or charges of any kind whatsoever in exchange for the delivery to Xxxxxxxx of the TRSG Note.

• The assignment, transfer, and delivery by Xxxxxxxx of the Xxxxxxxx Shares to Resourcing shall be effected on the Closing Date by Xxxxxxxx’x execution and delivery of documents and instruments necessary to assign, transfer, and deliver the Xxxxxxxx Shares, free and clear of any and all liens, encumbrances, security interests, claims and other restrictions or charges of any kind whatsoever in exchange for the delivery to Xxxxxxxx of the Resourcing Note.

• The purchase price of the Xxxxxxxx Shares shall be $34,090.91 (“Purchase Price”).

• At the Closing, as defined in Section 8 of this Agreement, Xxxxxxxx shall assign, transfer and deliver to TRSG the Xxxxxxxx Shares.

• The purchase price of the Xxxxxxxx Shares shall be $200,000.00 (“Purchase Price”).

More Definitions of Xxxxxxxx Shares

Xxxxxxxx Shares means those 50,000 fully paid and non-assessable common shares of Xxxxxxxx held by the Vendor, being all of the issued and outstanding common shares of Xxxxxxxx;

Xxxxxxxx Shares has the meaning given to it in the first whereas clause of this Agreement.

Xxxxxxxx Shares means all shares of Common Stock beneficially owned by H. Xxxxx Xxxxxxxx as of the date hereof, and any of such shares which are subsequently transferred to a Xxxxxxxx Transferee (such persons, the "Xxxxxxxx Stockholders").

Xxxxxxxx Shares means the ordinary shares of Xxxxxxxx (Hong Kong) Investment Limited, a Hong Kong company.

Xxxxxxxx Shares shall have the meaning set forth in Section 3.3 hereof.

Xxxxxxxx Shares mean the XxxxXxxx Common Stock to be issued to Citadel in connection with the Merger.
