Original Shares definition

Original Shares means, when used in reference to any one or more Stockholders, the Shares held by such Stockholder or affiliated funds on November 30, 2010, or any shares or other securities into which or for which such Shares may have been converted or exchanged in connection with any exchange, reclassification, dividend, distribution, stock split, combination, subdivision, merger, spin-off, recapitalization, reorganization or similar transaction.
Original Shares means ordinary shares with a par value of US$0.0001 each in the capital of the Company;
Original Shares means all of the Shares in the capital of the Company as listed in Schedule 1 (Original Shares).

Examples of Original Shares in a sentence

  • Except pursuant to this Agreement, there are no options, warrants, or other rights, agreements, arrangements, or commitments of any character to which Stockholder is a party relating to the pledge, disposition, or voting of any of the Original Shares and there are no voting trusts or voting agreements with respect to the Original Shares.

  • Such Shareholder has good and marketable title, free and clear of any Liens, to those Original Shares of which such Shareholder is the record owner.

  • The Original Shares were issued pursuant to one or more exemptions from registration under federal and applicable state securities laws.

  • The Original Shares have been, and when and if issued the Additional Shares will be, duly and validly issued and fully paid and non- assessable and, based in part upon the representations of the Investor in this Agreement, issued in compliance with all applicable federal and state securities laws.

  • Such Shareholder has the sole right to vote and Transfer such Shareholder’s Original Shares, and none of such Shareholder’s Original Shares are subject to any voting trust or other agreement, arrangement or restriction with respect to the voting or the Transfer of such Shareholder’s Original Shares that would in any way limit the ability of such Shareholder to perform its obligations hereunder, except as set forth in Section 3 of this Agreement.


More Definitions of Original Shares

Original Shares means, when used in reference to any one or more Investor Stockholders, the shares of Common Stock sold to such Investor Stockholders pursuant to a Subscription Agreement (as defined in the Stockholders Agreement), or any shares or other securities which such shares of Common Stock may have been converted into or exchanged for in connection with any exchange, reclassification, dividend, distribution, stock split, combination, subdivision, merger, spin-off, re-capitalization, re-organization or similar transaction.
Original Shares means the SIHNV Shares originally subscribed for or received as part of an exchange with the relevant Steinhoff Group Company;
Original Shares means the SIHNV Shares originally subscribed for, acquired or received as part of an exchange with any Steinhoff Group Company;
Original Shares means shares held before and involved in the restructuring, and
Original Shares means the shares of Common Stock purchased by the Investors pursuant to the Purchase Agreement and issued or issuable upon the exercise of outstanding Options.
Original Shares means shares of capital stock of the Company (including all shares issuable upon the exercise or conversion of options, warrants, convertible notes and other rights to acquire such shares) beneficially owned by the undersigned Stockholder as of the date of the Support Agreement.
