Xxxxxxx Obligations definition

Xxxxxxx Obligations means the indemnification obligations of the Borrower existing on the date hereof in favor of Xxxxxxx Purina Company with respect to its guaranty of the obligations of Xxxxxxx Resorts, Inc. under the Sports Facilities Refunding Revenue Bonds identified on Schedule 3.08.

Xxxxxxx Obligations means Obligations consisting of (i) the Borrower's obligation to pay (x) the principal amount of the Xxxxxxx Term Loans as evidenced by the account entries kept by the Administrative Agent, pursuant to Section 2.08 of the Credit Agreement and (y) interest (including interest accruing during the pendency of any bankruptcy, insolvency, receivership or other similar proceeding, regardless of whether allowed or allowable in such a proceeding), fees, indemnities, cost reimbursements and similar amounts directly attributable to the principal amounts of the Xxxxxxx Term Loans and (ii) each other Loan Party's obligations under the Guarantee Agreement in respect of its guarantee of the obligations referred to in clause (i) above.

Xxxxxxx Obligations means the indemnification obligations of the Company existing on the date of Closing in favor of General Xxxxx Inc. with respect to its indemnification of Xxxxxxx Purina Company, as more fully described in Note 14 of the Company’s Annual Report on Form 10-K for the year ended September 30, 2002 under “Other Contingencies”.

More Definitions of Xxxxxxx Obligations

Xxxxxxx Obligations means those obligations for Automotive Materials which a Xxxxxxx or Voluntary Reporter, as applicable, is responsible pursuant to the Legislation;

Xxxxxxx Obligations means, collectively, the loans and indebtedness evidenced by (a) that certain Credit Agreement, dated as of May 16, 2008, by and among the Holder, ETI and EES, and the Secured Note(s) executed in connection therewith, and (b) that certain Credit Agreement, dated as of November 12, 2008, by and among the Holder, ETI and EES, and the Secured Note(s) executed in connection therewith, each as affected by that certain letter agreement, dated as of April 14, 2009, as any of the same may be amended or modified.

Xxxxxxx Obligations means any and all debts, obligations and liabilities of Borrower to Xxxxxxx Factors, Inc., its successors and/or assigns (“Xxxxxxx”), whether absolute or contingent, due or to become due, now existing or hereafter arising and whether direct or acquired by Xxxxxxx by transfer, assignment or otherwise.

Xxxxxxx Obligations means those minimum royalty obligations owing to Xxxxxx'x in an amount not to exceed $9,000,000 in the aggregate as of the Initial Borrowing Date.

Xxxxxxx Obligations means, collectively, (a) FW LLC's obligations under the $20,350,000 4.9% 1997 Construction (Equity) Bonds and (b) the subordinated obligations under the Exit Funding Agreement relating to the $95,000,000 7.25% 1999 Series C Term Bonds and the $18,000,000 7.0% 1999 Series D Accretion Bonds.

Xxxxxxx Obligations means:
