Xxxxx’x Excluded Manufacturer Receivable Specified Percentage definition

Xxxxx’x Excluded Manufacturer Receivable Specified Percentage means, as of any date of determination, with respect to each Xxxxx’x Non‑Investment Grade Manufacturer as of such date, the percentage (not to exceed 100%) most recently specified in writing by Xxxxx’x to ABRCF and the Trustee and consented to by the Requisite Series 2013-2 Noteholders with respect to such Xxxxx’x Non‑Investment Grade Manufacturer; provided, however, that as of the Series 2013-2 Closing Date the Xxxxx’x Excluded Manufacturer Receivable Specified Percentage for each Xxxxx’x Non‑Investment Grade Manufacturer shall be 100%; provided further that the initial Xxxxx’x Excluded Manufacturer Receivable Specified Percentage with respect to any Manufacturer that becomes a Xxxxx’x Non‑Investment Grade Manufacturer after the Series 2013-2 Closing Date shall be 100%.
