  • The LLC will pay the purchase price (i) by delivery of cash or immediately available funds in an amount equal to forty percent (40%) of the purchase price and (ii) by delivery of the same class of publicly traded stock issued by WFCF having an aggregate value equal to sixty percent (60%) of the purchase price, with the number of issued shares of such stock of WFCF based upon the average trading value of such stock in the four weeks prior to the closing of the purchase.
