Until the expiration of the Risk Retention Period, no Person shall be permitted to own, directly or indirectly, any interest in the RR Interest other than JPMCB, GS Bank or one of their respective Majority-Owned Affiliates that is not a Non-Exempt Person.
The Purchaser intends to sell the Non-Registered Certificates (other than the VRR Interest) to JPMS, MS&Co., WFS, BofA Securities, Academy and Drexel (collectively in such capacity, the “Initial Purchasers”) pursuant to a certificate purchase agreement, dated as of the date hereof (the “Certificate Purchase Agreement”), among the Purchaser, JPMCB and the Initial Purchasers.
Such certificate shall be accompanied by true and complete copies (certified as such by the Secretary or an Assistant Secretary of JPMCB) of the articles of association and by-laws of JPMCB, as in effect on the Closing Date, and of the resolutions of JPMCB and any required shareholder consent relating to the transactions contemplated in this Agreement.
If the foregoing is in accordance with your understanding of our agreement, please sign and return to us a counterpart hereof, whereupon this letter and your acceptance shall represent a binding agreement between the Depositor, JPMCB and the several Underwriters.
In no event shall the indemnifying party or parties be liable for fees and expenses of more than one counsel (or, in the event the Depositor or JPMCB is the indemnifying party, one counsel for each Underwriter) (in addition to any local counsel) separate from its or their own counsel for all indemnified parties in connection with any one action or separate but similar or related actions in the same jurisdiction arising out of the same general allegations or circumstances.
