Examples of Voting Common Units in a sentence
In the event of any conversion to Common Units of any Class C Units, Class C-1 Units shall be converted into Voting Common Units, and Class C-2 Units shall be converted into Nonvoting Common Units.
For the avoidance of doubt, a holder of Non- Voting Common Units may pledge any Non-Voting Common Units in connection with a bona fide loan or other extension of credit entered into by such holder.
The Liquidator (if other than the General Partner) shall agree not to resign at any time without fifteen (15) days’ prior notice and may be removed at any time, with or without cause, by notice of removal approved by holders of at least a majority of the Outstanding Common Units and Special Voting Units, voting together as a single class (including Series A Preferred Units, as provided in Section 5.8(b)(iii)(A), but excluding all Non- Voting Common Units).
In the event of a transfer of Non-Voting Common Units to any Person, the Partnership will use commercially reasonable efforts to facilitate the conversion of such Non-Voting Common Units in connection with such transfer, including coordinating with the Transfer Agent to facilitate such transfer and to record the transfer and conversion of such Non-Voting Common Units in a manner that permits the sale of the Non- Voting Common Units in market transactions.
The Liquidator (if other than the General Partner) shall be entitled to receive such compensation for its services as may be approved by holders of at least a majority of the Outstanding Common Units and Special Voting Units, voting together as a single class (including Series A Preferred Units, as provided in Section 5.8(b)(iii)(A), but excluding all Non- Voting Common Units).
The Company may issue Preferred Series A-1 Non-voting Membership Interests, Voting Common Units, and such other series and/or class of securities designated by the Manager.
Except as otherwise provided herein, including Section 5.9, or any other Company Plan (or related grant or award agreement) or as approved by the Board, each Reduced-Voting Common Unit shall be identical to the Full-Voting Common Units in all respects and shall entitle the holder thereof to the rights, interests, preferences and privileges of a holder of a Common Unit as set forth herein (other than the Reduced-Voting Common Units shall not have equivalent voting rights as Full- Voting Common Units).
Other than their interest in the Company, Members will have no interest in any entities or ventures formed or developed by the holders of the Class A Voting Common Units.
If at any time a vacancy is created on the Board of Managers by reason of the death, removal or resignation of any Manager, a designee appointed to fill such vacancy or vacancies shall only be made by the holders of the Class A Voting Common Units.
The Board of Managers and holders of the Class A Voting Common Units will continue to engage in complementary activities that do not compete with the Company’s Business, including without limitation, the Jet Charter Operations.
