Voting Units definition

Voting Units means collectively, the Units and Special Voting Units;
Voting Units means, collectively, the Units and the Special Voting Units, and “Voting Unit” means any one of them.
Voting Units means (a) the Common Units and (b) any other Units other than Units that by their express terms do not entitle the record holder thereof to vote on any matter presented to the Members generally under this Agreement for approval; provided that (i) no vote by Voting Units shall have the power to override any action taken by the Manager or to remove or replace the Manager, (ii) the Voting Units have no ability to take part in the conduct or control of the Company’s business and (iii) notwithstanding any vote by Voting Units hereunder, the Manager shall retain exclusive management power over the business and affairs of the Company in accordance with Section 6.01(a).

Examples of Voting Units in a sentence

  • Except as otherwise provided herein or in the Members Agreement, with respect to any matter requiring the vote of the Members, all Members holding Voting Units shall be entitled to vote together, as a single class, each with one vote per Voting Unit so held.

  • Each Director, except as limited by the provisions of Section 7.4(h), shall be entitled to vote that percentage of the Total Votes equal to the quotient obtained by dividing (i) the quotient of (A) the number of Voting Units held by the Member that designated such Director divided by (B) the aggregate number of Voting Units held by all Members that designated Directors, by (ii) the number of Directors designated by such Member.


More Definitions of Voting Units

Voting Units means the Class A Units and the Class B Units.
Voting Units means the Class A Units, the Class B Units and Units of any other class or series that entitle the Record Holder thereof to vote on any matter submitted for consent or approval of Members under this Agreement.
Voting Units means Partnership Common Units, Class I High Performance Partnership Units and any other class of Partnership Units having the same voting or approval rights as Partnership Common Units.
Voting Units means the Common Units.
Voting Units has the meaning set forth in Section 4.07(a).
Voting Units means (a) the Class A Common Units and Class B Common Units and (b) any other class or group of Units designated as “Voting Units” pursuant to this Agreement, the Members holding which are entitled to vote on any matter presented to the Members generally under this Agreement for approval; provided that (i) no vote by the Members holding Voting Units shall have the power to override any action taken by the Manager (unless the prior approval of the Members holding such Voting Units is required for such action), or to remove or replace the Manager, (ii) the Members, in such capacity, have no ability to take part in the conduct or control of the Company’s business, and (iii) notwithstanding any vote by Members under this Agreement, the Manager shall retain exclusive management power over the business and affairs of the Company in accordance with Section 6.01(a).
