Venture Products BN. Venture Products GR" and "Territory" shall have the meanings ascribed to them in the Venture Agreement. No Member shall have any liability to the Company, to the other Members, or to the creditors of the Company on account of any deficit balance in its Capital Account except to the extent such deficit arises from the failure of such Member to contribute the full amount of its Capital Contribution. No Member shall have the right to demand or receive the return of such Member's Capital Contribution to the Company. No Member shall be entitled to interest on any Capital Contribution or on such Member's Capital Account.

Examples of Venture Products BN in a sentence

  • Except as described in Attachment E hereto, BIONUMERIK represents and warrants to KI PHARMA and GRELAN that BIONUMERIK has not received any notification of, and has no knowledge that the use by KI PHARMA and GRELAN of the Know-How or the manufacture, use or sale of the Venture Products BN infringes any third party patent rights in the Territory.

  • BIONUMERIK will provide free of charge to KI PHARMA and GRELAN all pre-clinical data, clinical research protocols, and clinical trials data and information previously or hereafter developed by BIONUMERIK that were used and/or are necessary to support United States Food and Drug Administration ("FDA") regulatory submissions to support regulatory applications for the Venture Products BN in the Territory.

  • In addition, KI PHARMA shall not institute or settle any Suit regarding Venture Products BN without the consent of BIONUMERIK (which consent will not be unreasonably withheld) and BIONUMERIK may assume control of any Suit regarding Venture Products BN at its own expense by giving notice to KI PHARMA and agreeing to be responsible for all further costs of such Suit.

  • Effective as of the Effective Date, BIONUMERIK hereby grants to KI PHARMA an exclusive license under the BioNumerik Patent Rights, Know-How, BioNumerik Improvements and Trademarks to import Venture Products BN into the Territory and/or market, sell, distribute or otherwise commercially dispose of Venture Products BN in the Territory during the term of this Agreement.

  • BIONUMERIK shall advise GRELAN as to the progress of its patent applications and registrations in Japan relating to Venture Products BN from time to time.

  • BIONUMERIK represents and warrants that to its knowledge there is no action or proceeding pending against BIONUMERIK relating to the Venture Products BN, and to its knowledge there is no basis for or threat of any action or proceeding relating to the Venture Products BN, which might result in a material adverse change in the business or financial condition of BIONUMERIK which could adversely affect the rights of GRELAN and KI PHARMA under this Agreement or the development of the Venture Products.

  • BIONUMERIK may join and, if required by law, BIONUMERIK will join as party plaintiff in such Suits regarding Venture Products BN.

  • BIONUMERIK will be responsible for prosecuting and maintaining Patents for Venture Products BN at its own expense and BIONUMERIK will own all Patent Rights for Venture Products BN.

  • Subject to the conditions contained in Section 4.3, effective as of the Effective Date GRELAN is hereby granted by KI PHARMA a right of first refusal to negotiate to obtain a license for itself for any Venture Products BN that KI PHARMA proposes to license to third parties.

  • Unless otherwise agreed by the parties, BIONUMERIK will have the right to develop all Venture Products BN outside of the Territory and GRELAN will have the right to develop all Venture Products GR outside of the Territory.

  • Software Products and “Software” are interchangeable and mean software, computer source codes and other computer programs.

  • Software Product means any COTS which you propose to provide pursuant to the contract.

  • Tobacco products means cigars, cigarettes, cheroots, stogies, periques, granulated, plug cut, crimp cut, ready rubbed, and other smoking tobacco, snuff, snuff flour, moist snuff, cavendish, ping and twist tobacco, fine-cut and other chewing tobaccos, shorts, refuse scraps, clippings, cuttings and sweepings of tobacco, and other kinds and forms of tobacco, prepared in such manner as to be suitable for chewing or smoking in a pipe or otherwise, or both for chewing and smoking.

  • Steel Products means products rolled, formed, shaped, drawn, extruded, forged, cast, fabricated or otherwise similarly processed, or processed by a combination of two or more or such operations, from steel made by the open heath, basic oxygen, electric furnace, Bessemer or other steel making process.

  • New Products means any product which is not an Enhanced Product or 2 Existing Product but which is substantially similar to an Existing Product with respect to design and function and possesses reasonable performance improvements. If Company desires to purchase an Enhanced or New Product(s) from Supplier, Company shall so notify Supplier and provide Supplier the opportunity to manufacture such Enhanced or New Product(s), subject to the following conditions and procedures.

  • Hemp products means all products made from industrial hemp,

  • Tobacco product means any substance containing tobacco leaf, including but not limited to, cigarettes, cigars, pipe tobacco, hookah tobacco, snuff, chewing tobacco, dipping tobacco, bidis, blunts, clove cigarettes, or any other preparation of tobacco; and any product or formulation of matter containing biologically active amounts of nicotine that is manufactured, sold, offered for sale, or otherwise distributed with the expectation that the product or matter will be introduced into the human body by inhalation; but does not include any cessation product specifically approved by the U.S. Food and Drug Administration for use in treating nicotine or tobacco dependence.

  • Marijuana products means concentrated marijuana products and marijuana products that are comprised of marijuana and other ingredients and are intended for use or consumption, such as, but not limited to, edible products, ointments, and tinctures.

  • SAP Products means Software, Documentation, SAP Materials, Services, Subscription Services, Cloud Services and Maintenance Services. “SAP SDK” means SAP software development kit that includes tools such as APIs, source code, redistributable files and instructions. “Services” means SAP’s then-current services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Biological product means a virus, therapeutic serum, toxin, antitoxin, vaccine, blood, blood component or derivative, allergenic product, protein other than a chemically synthesized polypeptide, or analogous product, or arsphenamine or any derivative of arsphenamine or any other trivalent organic arsenic compound, applicable to the prevention, treatment, or cure of a disease or condition of human beings.

  • Competing Products means any product or service in existence or under development that competes with any product or service of the Company Group about which the Participant obtained Confidential Information or for which the Participant provided advisory services or had sales, origination, marketing, production, distribution, research or development responsibilities in the last twenty-four (24) months of employment with the Company Group.

  • End Products as used in this clause, means those articles, materials, and supplies to be acquired for public use under this contract.

  • Competitive Products shall include any product or service that directly or indirectly competes with, is substantially similar to, or serves as a reasonable substitute for, any product or service in research, development or design, or manufactured, produced, sold or distributed by the Company;

  • Tobacco product manufacturer means an entity that after the date of enactment of this Act directly (and not exclusively through any affiliate):

  • Aerosol product means a pressurized spray system that dispenses product ingredients by means of a propellant contained in a product or a product's container, or by means of a mechanically induced force. “Aerosol Product” does not include “Pump Spray.”

  • Red Hat Products means Software, Services, Subscriptions and other Red Hat branded offerings made available by Red Hat.

  • Marijuana-infused products means products that contain marijuana or marijuana extracts and are intended for human use. The term "marijuana-infused products" does not include useable marijuana.

  • Intermediate product means marijuana flower lots or other material lots that have been converted by a marijuana pro­ cessor to a marijuana concentrate or marijuana-infused product that must be further processed prior to retail sale.

  • Pharmaceutical Product shall have the meaning ascribed to such term in Section 3.1(hh).

  • Products means information resources technologies that are, or are related to, EIR.

  • Nicotine product means a product that contains nicotine and is not any of the following:

  • Marijuana product means marijuana as defined in 50-32-101 and marijuana-infused products

  • Competitive Products or Services means, as of any time, those products or services of the type that any of the Bank Entities is providing, or is actively preparing to provide, to its customers.

  • Products and Services means the products and/or services to be sold by Vendor hereunder as identified and described on Attachment A hereto and incorporated herein, as may be updated from time to time by Vendor to reflect products and/or services offered by Vendor generally to its customers.

  • Product means any deliverable under the Contract, which may include commodities, services, technology or software.

  • Third Party Products means the Third Party Software and Third Party Hardware.
