Transfer Side Letter definition

Transfer Side Letter means the letter agreement, to be dated as of the Closing Date, among certain Affiliates of Warburg Pincus LLC, Kohlberg Kravis Xxxxxxx & Co. L.P. and Centerbridge Partners L.P., the Company, SHUSA, Xxxxxx DFS LLC, Xxxxxx X. Xxxxxx and Banco Santander, S.A., substantially in the form of Exhibit O hereto.
