Ten Percent (10%) Stockholder definition

Ten Percent (10%) Stockholder means, with respect to any Business Combination, any person (other than this Corporation or any Subsidiary) which, as of the record date for the determination of stockholders entitled to notice and to vote on such Business Combination, or immediately prior to the consummation of any such transaction:
Ten Percent (10%) Stockholder means the owner of stock (as determined under Section 424(d) of the Code) possessing more than ten percent (10%) of the total combined voting power of all classes of stock of the Company (or any Parent or Subsidiary).
Ten Percent (10%) Stockholder means a person who, at the time an Option is granted, directly or by attribution owns more than ten percent (10%) of the total combined voting power of all classes of stock of the Company or of any Subsidiary of the Company.
